QUALORA NON ACCETTIATE I TERMINI E LE CONDIZIONI DEL PRESENTE CONTRATTO, HA L’OBBLIGO DI CANCELLARE IMMEDIATAMENTE TUTTI I FILE DI INSTALLAZIONE E RESTITUIRE IL PACCHETTO DI INSTALLAZIONE COMPLETO AL RIVENDITORE DA CUI È STATO ACQUISTATO.
ACCORDO DI LICENZA GRAPHISOFT
Graphisoft SE Private European Company Limited by Shares, Záhony utca 7. Budapest H-1031 Hungary https://www.graphisoft.com ("Graphisoft") concede in licenza il presente Software a Lei, quale persona fisica o in rappresentanza o per conto del Suo datore di lavoro ("Lei") solo a condizione che accetti tutte le condizioni ed i termini di cui al "Contratto di licenza Software" ("Contratto").
Accettando i termini e le condizioni del presente Contratto di Licenza di Software dichiara e conferma espressamente di avere pieni poteri e capacità di rappresentare il Suo datore di lavoro e/o il soggetto per conto del quale agisce. Ove tale dichiarazione risultasse mendace, sarete tenuto a rispondere personalmente di tutti gli obblighi assunti in forza del presente Contratto.
Il presente Contratto costituisce una licenza limitata, non sub licenziabile a terzi, che Le conferisce, quale Utente finale, il diritto di utilizzare in via non esclusiva il software accluso e l’inerente documentazione, gli aggiornamenti, le nuove versioni e le correzioni fornite da Graphisoft (definito il "Software"). Il Software viene concesso in licenza, e non venduto, per il vostro utilizzo personale e secondo i termini e le condizioni previste da questo Contratto.
Il termine "Software" include i seguenti prodotti software e i loro componenti:
Il Software è di titolarità di Graphisoft ed è protetto dalle leggi applicabili a tutela del diritto d'autore e della proprietà intellettuale. Nei limiti consentiti dalle leggi applicabili, Graphisoft si riserva tutti i diritti sul Software non espressamente concessi con il presente Contratto, nonché quelli relativi a qualsiasi riproduzione del Software inclusa la sua documentazione, i logotipi, i marchi, le icone e le interfacce del programma. La copia o l’uso in tutto o parte del Software senza concludere il presente Contratto o senza ottenere il consenso scritto di Graphisoft costituirà violazione del diritto d’autore di cui Graphisoft è titolare oltre agli altri diritti di proprietà intellettuale e comporterà la Vostra responsabilità nei confronti di Graphisoft e dei suoi licenzianti per i danni arrecati, oltre alla possibile applicazione di sanzioni penali.
Per utilizzare la tua copia del software (indipendentemente dal fatto che tu disponga di SOFTWARE o HARDWARE KEY), Lei riconosce che è necessario avere un Graphisoft ID valido e autenticare regolarmente la Sua copia del software come richiesto da Graphisoft durante la durata del presente Contratto, da essere ottenuto da Graphisoft presso https://graphisoftid.graphisoft.com .
POTETE UTILIZZARE LA VOSTRA COPIA DEL SOFTWARE O IN MODALITÀ BIMcloud O IN MODALITÀ BIMcloud Basic.
HA IL DIRITTO DI UTILIZZARE LA MODALITÀ BIMcloud SOLO SE HA ACQUISTATO E CONNESSO LA CHIAVE DI PROTEZIONE BASATA SULL’HARDWARE (CHIAVE HARDWARE) O INSTALLATO LA CHIAVE DI PROTEZIONE BASATA SUL SOFTWARE (CHIAVE SOFTWARE) SUL SUO COMPUTER.
SE IN ASSENZA DELLE AUTORIZZAZIONI APPROPRIATE (AD ESEMPIO CHIAVE HARDWARE, CHIAVE SOFTWARE O NUMERO SERIALE) PER L'UTILIZZO DEL SOFTWARE, PUO’ USARLO SOLO IN MODALITÀ BIMcloud Basic.
2. COMPONENTI SERVIZI BASATI SU INTERNET E NON
2.1. DISPOSIZIONI GENERALI - APPLICABILI ALLE MODALITÀ BIMcloud E BIMcloud Basic DEL SOFTWARE:
* Il Software può contenere dei componenti che abilitano e semplificano l'uso di alcuni servizi basati o meno su Internet. Lei riconosce e acconsente che Graphisoft possa controllare automaticamente la modalità di utilizzo, la modalità del Software e/o dei relativi componenti, il numero seriale della sua CHIAVE HARDWARE (se presente), il numero seriale della CHIAVE SOFTWARE (se presente) e i relativi servizi che sta utilizzando per poter verificare che Lei stia usando il Software conformemente al suo scopo, e possa fornire aggiornamenti, correzioni o servizi addizionali per il Software al fine di promuoverne il miglioramento, in modo legale, a sola discrezione di Graphisoft. Graphisoft non sarà responsabile per alcuna perdita di dati o malfunzionamento del Software che si verifichi in relazione alla condotta tenuta da Graphisoft a norma del presente paragrafo.
* Il Software può contenere misure tecnologiche che sono progettate per prevenire e individuare utilizzi non autorizzati del Software. Utilizzando il software installerà anche queste misure tecniche di protezione (di seguito le "MTP") utilizzate da Graphisoft o dai suoi fornitori stranieri per raccogliere, trasmettere e utilizzare, per finalità di legge, dati tecnici dal Suo computer (di seguito il "Dati tecnici"), al fine per prevenire e individuare l'utilizzo non autorizzato del Software e tutelare i diritti di proprietà intellettuale di Graphisoft.
* Lei accetta espressamente che Graphisoft o il suo avente causa useranno le MTP per confermare che si dispone di una copia regolarmente concessa in licenza del Software e si utilizza il Software secondo i termini e le condizioni del presente Contratto.
Se Graphisoft riscontrasse che non state usando una copia licenziata del Software, o che il vostro uso del Software viola i termini e le condizioni di questo Contratto, questo si qualifica come violazione materiale del presente Contratto e assicura a Graphisoft il diritto di terminare questo Contratto con effetto immediato senza preavviso e voi sarete tenuti a risarcire Graphisoft per i suoi danni e le spese che si verificano in connessione con l'uso illecito e la violazione del presente Contratto e Graphisoft ha il diritto di far valere altri diritti e pretese ai sensi delle leggi vigenti in materia, inoltre, non vi sarà permesso di installare i futuri aggiornamenti del software.
2.2. DISPOSIZIONI PARTICOLARI RELATIVE ALLA MODALITÀ BIMcloud DEL SOFTWARE:
* Lei è a conoscenza del fatto che Graphisoft si riserva, di volta in volta e per ragioni diverse (ad esempio per segnalazioni di furto, rottura o sostituzione), di verificare che la chiave Hardware o Software usata dalla Sua copia del Software è valida per l’utilizzo commerciale.
3. INFORMATIVA E CONSENSO PER L’UTILIZZO DEI DATI PERSONALI
* Ai sensi della legge vigente in materia di protezione dei dati personali, con la sottoscrizione del presente Contratto Lei accetta che i Suoi dati personali (compresi i dati tecnici raccolti e utilizzati dal sistema MTP) saranno raccolti e trattati da Graphisoft per le finalità correlate all'esecuzione del presente Contratto, incluso l'adempimento dei Suoi obblighi, come quelli relativi ai diritti di proprietà intellettuale di Graphisoft.
* In linea con quanto sopra, in particolare la seguente elaborazione di dati avviene nei rispettivi termini e condizioni:
- BIMcloud elabora i seguenti dati: ID Graphisoft della persona che attiva BIMcloud, dati di sistema operativo (come nome del sistema operativo, build, architettura, piattaforma), ID del BIMcloud Server generato durante l'installazione, ora di attivazione, versione BIMcloud, ora dei raccolta dei dati, numero di utenti BIMcloud, numero di progetti BIMcloud, numero di librerie BIMcloud, numero di connessioni LDAP, ora dell'ultima attività del server, numero di licenze, numero seriale della chiave hardware, modalità di autorizzazione.
- Scopo del trattamento dei dati: miglioramento del software e fornitura di informazioni su funzionalità e servizi rilevanti.
- Base giuridica del trattamento dei dati: se Lei è una persona fisica il consenso di cui al punto a. dell'articolo 6, paragrafo 1, GDPR; se Lei è un'entità l'interesse legittimo di Graphisoft ai sensi del punto f. dell'articolo 6, paragrafo 1, GDPR.
- Durata del trattamento dei dati: Graphisoft cancella tutti i dati entro 3 anni dalla fine dell'abbonamento BIMcloud.
* Lei riconosce espressamente che i Suoi dati personali trattati ai sensi del presente Contratto saranno trattati, manualmente o con l'ausilio di mezzi elettronici o automatizzati, in modo tale da ridurre al minimo, mediante idonee misure di sicurezza, il rischio di accesso o divulgazione non autorizzati dei vostri dati. I suoi dati personali saranno trattati durante la durata del presente Contratto in relazione alle sue finalità, anche al fine di prevenire l'uso non autorizzato del Software. Per le finalità di cui sopra, i dati personali possono essere comunicati a terzi (prestatori di servizi, consulenti, collaboratori, un elenco dei quali è disponibile nella Privacy Policy) situati in altri paesi SEE o paesi terzi, ai sensi e per le finalità del presente Contratto e qualsiasi legge applicabile. In caso di trasferimenti di dati verso paesi terzi, Graphisoft utilizza sempre adeguate misure di salvaguardia (come le clausole contrattuali standard adottate dalla Commissione Europea, il Privacy-Shield per i rapporti UE-USA e strumenti simili) per garantire un'adeguata protezione dei dati personali. Graphisoft si riserva il diritto di divulgare i propri dati personali alle autorità legali competenti, se richiesto, per far valere o difendere i propri diritti o interessi legittimi di fronte a tribunali civili e penali, organismi di regolamentazione o per eseguire un ordine dell'autorità giudiziaria o regolamentare competente. In qualità di Utente Finale del prodotto, ha il diritto di accedere ai dati personali trattati da Graphisoft, di ottenere l'aggiornamento o la rettifica di tali dati. Lei ha anche il diritto di ottenere la cancellazione di qualsiasi dato personale se, ad esempio, tali dati sono stati trattati illecitamente o non sono più necessari per le finalità per le quali sono stati raccolti o trattati. In alcuni casi, ad esempio quando il trattamento è illecito e Lei richiede la cancellazione dei Suoi dati, ha il diritto di ottenere da Graphisoft la limitazione del trattamento. Ha anche il diritto di ricevere i dati personali che La riguardano, che ha fornito a Graphisoft, in un formato strutturato, comunemente usato e leggibile da una macchina e ha il diritto di trasmettere tali dati a un altro titolare. Naturalmente, in tali casi avete anche il diritto di sporgere denuncia presso l'Autorità Ungherese per la Protezione dei Dati e la Libertà di Informazione ( http://naih.hu/general-information.html ) o un'altra autorità di controllo della protezione dei dati, in particolare nello Stato Membro della residenza abituale, luogo di lavoro o luogo dell'infrazione presunta.
* Ove applicabile, Lei assicura e garantisce che i Suoi dipendenti sono a conoscenza e abbiano prestato il loro consenso, richiesto dalle norme di legge applicabili, alla raccolta, l'elaborazione, il trasferimento e l'utilizzo delle loro informazioni personali da parte di Graphisoft e manleva e tiene indenne Graphisoft da e contro qualsiasi pretesa di terzi relativi a questo punto.
* Le regole dettagliate in merito ai diritti e gli obblighi relativi alla raccolta, uso, il trasferimento dei dati da parte di Graphisoft, il loro trattamento sono riportati nella Privacy Policy che costituisce parte integrante di questo Contratto ed è disponibile all'indirizzo https://graphisoft.com/legal/privacy-policy .
La licenza concessa da Graphisoft in forza del presente Contratto è regolata dalle condizioni di seguito illustrate.
BIMcloud offre funzionalità gratuite e a pagamento: La raccolta di funzioni gratuite si chiama BIMcloud Basic, la versione a pagamento si chiama BIMcloud.
BIMcloud Basic - Licenza Gratuita
* BIMcloud Basic richiede un'attivazione una tantum del BIMcloud Manager installato utilizzando un ID Graphisoft valido del cliente.
* Il Software La abilita ad installare i seguenti prodotti software:
* Condizioni speciali: L'utilizzo di BIMcloud Basic è limitato alle reti locali (LAN / VPN). L'uso di BIMcloud Basic su reti geografiche (WAN / Internet) è severamente vietato. BIMcloud Basic può essere installato solo su hardware locale. Non è possibile installare/utilizzare BIMcloud Basic su computer virtuali basati su cloud.
* Questi componenti devono essere installati sullo stesso computer.
* BIMcloud Basic può funzionare solamente con una singola versione di Archicad, che dovrà essere selezionata durante il processo di configurazione e non potrà essere successivamente modificata.
* Se desidera usare più di una versione di Archicad, allora potrà installare diversi BIMcloud Basic sullo stesso computer (o computer diversi)
* Il Software permetterà di usare solamente le caratteristiche gratuite fornite da BIMcloud Basic.
* Graphisoft si riserva il diritto di modificare il set di funzioni gratuite di BIMcloud Basic, inclusa l'aggiunta di nuove funzionalità o la rimozione di funzionalità che erano precedentemente gratuite.
* È possibile connettere un numero illimitato di Clienti in qualsiasi momento a un BIMcloud Basic
* BIMcloud Basic può essere aggiornato a un BIMcloud a pagamento per abilitare tutte le funzionalità gratuite e a pagamento, si veda la licenza BIMcloud
BIMcloud - Licenza a pagamento
* Il Software consiste di diversi programmi per computer scaricabili da un sito internet, la CHIAVE(I) HARDWARE o il rispettivo codice di abilitazione necessario per la CHIAVE SOFTWARE, la documentazione e il pacchetto che lo accompagnano.
* Il Software La abilita ad installare i seguenti prodotti software:
* Per potersi connettere con un Client (es. Archicad, BIMx o l'interfaccia del browser di BIMcloud Manager) al BIMcloud e accedere ai dati memorizzati sui BIMcloud Server, è necessario avere una Licenza Utente BIMcloud valida. Deve acquistare licenze in numero uguale alle connessioni simultanee Client - BIMcloud necessarie.
Come dichiarato, il Software è di proprietà di Graphisoft e tutti i diritti per accedere ai dati archiviati, condivisi o gestiti dal Software rappresentano proprietà intellettuale indivisa di Graphisoft. Pertanto, l'accesso client è concesso in licenza e protetto dalle vigenti leggi sul copyright come Licenze Utente BIMcloud, ed è parte integrante del presente Contratto. Nella misura massima consentita dalle leggi applicabili, Graphisoft si riserva tutti i diritti di concedere in licenza i diritti di accesso ai dati sotto il nome di Licenza Utente BIMcloud non espressamente concessi dal presente Contratto e a qualsiasi riproduzione, manipolazione del Software o di accesso ai dati, compresa la sua documentazione, i loghi, i marchi, icone e interfaccia in tutto o in parte.
* La Licenza Utente BIMcloud è una licenza ad abbonamento di durata annuale. Le Licenze Utente BIMcloud scadranno automaticamente alla scadenza dei loro termini annuali a meno che il cliente non le rinnovi esplicitamente. Questo rinnovamento è essenziale per continuare ad accedere al BIMcloud da applicazioni client.
* L’accesso ai dati su BIMcloud da più tipi di dispositivi contemporaneamente (es: computer, tablet (dispositivo mobile) o smart phone (dispositivo mobile)) da parte di un singolo utente richiede solo una Licenza Utente BIMcloud per ogni utente, la quale può essere utilizzata con un massimo di tre dispositivi come segue: due dispositivi mobili e un computer o un dispositivo mobile e due computer.
* BIMcloud fornisce una licenza utente BIMcloud di emergenza integrata, quando le licenze di abbonamento scadono o la chiave di autorizzazione non è accessibile. Questa licenza può essere usata solo per scopi di backup e non deve essere usata per la produzione.
* Lei accetta espressamente che le Licenze Utente BIMcloud possano essere assegnate solo a persone reali. In nessun caso diversi individui possono condividere la stessa Licenza Utente BIMcloud per accedere simultaneamente e gestire i dati su BIMcloud.
* È possibile installare il BIMcloud Manager su un singolo computer per amministrare i BIMcloud Server in locale o in remoto.
* È possibile connettere un numero illimitato di BIMcloud Server al BIMcloud Manager.
* È possibile connettere un numero limitato di Client (equivalente al numero di Licenze Utente BIMcloud valide in vostro possesso) in qualsiasi momento al BIMcloud.
* È possibile eseguire delle copie di backup del BIMcloud Manager in forma leggibile dalla macchina.
* È possibile installare il BIMcloud Server in un numero illimitato di istanze.
* È possibile eseguire delle copie di backup di ogni BIMcloud Server in forma leggibile dalla macchina.
* È possibile installare il BIMcloud Delta Cache in un numero illimitato di istanze.
* È possibile eseguire delle copie di backup del BIMcloud Delta Cache in forma leggibile dalla macchina.
5.1. DISPOSIZIONI GENERALI - APPLICABILI ALLE MODALITÀ BIMcloud E BIMcloud Basic DEL SOFTWARE:
* È fatto espresso divieto di decompilare, disassemblare, effettuare reverse engineering o ridurre il Software per qualsivoglia scopo.
* Non è permesso sbloccare o altrimenti tentare di scoprire il codice sorgente o algoritmi alla base del Software o effettuare alcun tentativo a riguardo in relazione al codice oggetto del Software.
* Non è concesso di usare il Software per sviluppo, compilazione, debugging e simili finalità di progettazione.
* È espressamente proibito adattare, modificare, tradurre o creare altri prodotti basati in tutto o in parte sul Software e sulla fusione del Software con qualsiasi altro software.
* È vietato copiare qualsiasi materiale scritto che accompagna il Software.
* È espressamente proibito condividere la Sua licenza o rivenderne una parte.
* È consentito l’uso di tutti i componenti del Software quali parti integranti dello stesso esclusivamente al fine della esecuzione delle funzionalità del Software stabilite dal Graphisoft.
* Clausola di NON-FORNITURA: A meno che Lei non abbia un accordo di licenza per fornitori di servizi separato in vigore, Le è espressamente vietato fornire e fornire servizi come "Software as a Service" o "Platform as a Service" (ad es: 'BIMcloud as a Service 'in caso dei prodotti BIMcloud Manager, BIMcloud Server o BIMcloud Delta Cache e 'Archicad as a Service') per conto di terzi o di altri servizi simili che comportano la riassegnazione delle nostre licenze software a terzi, ad esempio: ricommercializzazione, rivendita di servizi o servizi cloud.
* È proibito eludere o fornire un sistema per aggirare le MTP del Software e utilizzare il Software in qualsiasi altro modo non autorizzato.
* In caso di violazione delle disposizioni del presente capitolo, Lei riconosce espressamente che questo costituisce violazione sostanziale del presente Contratto e che dà il diritto di Graphisoft di risolvere immediatamente il presente Contratto e che Graphisoft prenderà le misure necessarie affinché l'infrazione termini e per far rispettare le disposizioni di cui sopra. Inoltre, Graphisoft ha il diritto di agire per il risarcimento dei suoi danni, così come per tutelare gli altri diritti e pretese che derivino dalla violazione del presente Contratto ai sensi delle leggi in vigore.
* A meno che non renda la Sua copia del Software totalmente inutilizzabile, Non è permesso vendere, prestare, distribuire, cedere, concedere in licenza, affitto o leasing o altrimenti trasferire o cedere il diritto di utilizzare il Software, né trasferire o fornire l'accesso in rete ad esso per uso commerciale, in tutto o in parte. Riconosce che in caso di trasferimento di qualsiasi tipo del Software da parte Sua, il presente Contratto cessa automaticamente di esistere alla data di efficacia del trasferimento con contestuale perdita per Lei di tutti i diritti derivanti dal presente Contratto.
5.2. DISPOSIZIONI PARTICOLARI RELATIVE ALLA MODALITÀ BIMcloud DEL SOFTWARE:
* In caso di licenza rivenduta Lei, cioè l'acquirente del Software rivenduto, sarà tenuto a registrare nuovamente il Software con i partner locali incaricati da Graphisoft, pagare le tasse applicabili e stipulare il Contratto di Assistenza e Aggiornamento (SSA o CdAA) applicabile, al fine di avere diritto a eventuali aggiornamenti, supporto, ecc..
Con la sottoscrizione della presente licenza Lei prende atto e accetta che - in aggiunta a qualsiasi altra verifica di conformità della licenza prevista dal presente Contratto o altrove - Graphisoft ha il diritto di effettuare visite presso le sedi in cui Lei utilizza il Software con 7 (sette) giorni di preavviso scritto al fine di verificare i Suoi archivi, sistemi, attrezzature per appurare che l'utilizzo del Software sia pienamente in linea con le disposizioni del presente Contratto e con le norme di legge applicabili. Graphisoft può anche nominare una terza parte per esercitare i propri diritti di controllo. Lei accetta di cooperare pienamente con Graphisoft al fine di eseguire con successo questa verifica, fornendo a Graphisoft tutte le informazioni e documenti richiesti.
* Graphisoft può risolvere il presente Contratto con effetto immediato e senza preavviso a seguito della violazione di qualsiasi parte del presente Contratto. La violazione effettiva o tentata di qualsiasi delle disposizioni contenute nei Parametri di Licenza o delle Limitazioni di cui sopra costituirà un inadempimento grave del presente Contratto con diritto per Graphisoft di risolvere il presente Contratto con effetto immediato.
* In caso di risoluzione da parte di Graphisoft Lei è obbligato a risarcire Graphisoft per i danni e le spese occorse in relazione alla violazione del presente Contratto e Graphisoft avrà il diritto di azionare i propri diritti e le proprie pretese secondo le leggi vigenti in materia.
* In caso di risoluzione, per qualsiasi motivo sia intervenuta, Graphisoft non sarà mai responsabile del rimborso del prezzo del Software (se presente) o di ogni altro danno.
* Il presente Contratto resta in vigore fino alla sua eventuale risoluzione.
* In caso di risoluzione Lei è tenuto a distruggere il Software e tutte le sue copie e restituire la CHIAVE HARDWARE al partner locale di Graphisoft o al rivenditore presso il quale è stato acquistato il Software. Qualora quest’ultimo non fosse disponibile o non accettasse di ricevere la CHIAVE HARDWARE, Lei sarà tenuto a restituire la CHIAVE HARDWARE direttamente a Graphisoft. È obbligatorio disinstallare la CHIAVE SOFTWARE con l'applicativo di programmazione della licenza.
8.1. DISPOSIZIONI GENERALI - APPLICABILI ALLE MODALITÀ BIMcloud E BIMcloud Basic DEL SOFTWARE
* Eventuali consigli o informazioni forniti da dipendenti di Graphisoft, da suoi Partner, rivenditori, agenti, o consulenti non costituiscono una garanzia di Graphisoft o estensione della garanzia nell'ambito del presente Contratto. Il presente Contratto e la garanzia qui fornita possono essere modificati solo da una modifica scritta firmata da un funzionario esecutivo debitamente autorizzato di Graphisoft.
* In nessun caso Graphisoft sarà ritenuta responsabile di eventuali danni, ivi compresi a titolo puramente esemplificativo e non limitativo, danni per mancati profitti, interruzione di attività, perdita di informazioni commerciali o altri danni speciali, incidentali, conseguenti, esemplari, multipli, danni indiretti o altre perdite pecuniarie derivanti dall'utilizzo o improprio utilizzo del Software, anche nel caso in cui Graphisoft o i propri dipendenti, rivenditori o agenti siano stati al corrente o avrebbero dovuto conoscere la possibilità di tali danni. In nessun caso la responsabilità complessiva di Graphisoft derivante da ogni violazione di questo Contratto, dall’’utilizzo del Software o per ogni altra ragione, può eccedere l’ammontare da Lei pagato a Graphisoft per questa copia del Software, salvo quanto diversamente richiesto dalla legge applicabile.
* Lei prende atto e accetta che l’eventuale prezzo del Software ovvero la fornitura del Software stesso a titolo gratuito e le condizioni del presente Contratto a Voi favorevoli sono state determinate tenendo in considerazione le suddette previsioni relative alla garanzia limitata.
8.2. DISPOSIZIONI PARTICOLARI RELATIVE ALLA MODALITÀ BIMcloud DEL SOFTWARE:
* Graphisoft garantisce che - ove Lei riceva una CHIAVE HARDWARE con il Software - la CHIAVE HARDWARE è priva di difetti per il periodo di 1 anno dalla data originaria della prima vendita del Software da parte di Graphisoft / o del partner Graphisoft come indicato sulla Sua ricevuta di acquisto.
* Graphisoft garantisce che - se il software è rilasciato su DVD - i DVD, nei quali il Software è contenuto, risulteranno esenti da difetti per un periodo di 90 giorni dalla data di acquisto iniziale attestata dalla Sua ricevuta di acquisto.
* Tale garanzia limitata deve considerarsi nulla nel caso in cui il mancato funzionamento del DVD o della CHIAVE HARDWARE sia in qualsiasi modo causato da incidente, uso inappropriato, furto, perdita, o errato utilizzo della stessa.
* Il periodo di garanzia limitata decorre dalla data in cui il Software è stato acquistato presso Graphisoft o presso un partner Graphisoft (vale a dire il periodo di garanzia non ricomincia in caso di rivendita, upgrade, aggiornamento, ecc. del Software).
* Qualora entro il periodo di garanzia il Suo DVD o la CHIAVE HARDWARE risultassero danneggiati, la sola responsabilità a carico di Graphisoft e l'unico rimedio a Lei spettante sarà, a discrezione di Graphisoft:
- sostituire i DVD difettosi o la CHIAVE HARDWARE gratuitamente purché siano restituiti a Graphisoft insieme a una prova di acquisto, o
- la restituzione del prezzo pagato per la licenza. Ogni DVD o CHIAVE HARDWARE sostituito sarà garantito per 90 giorni dalla data in cui il prodotto sostitutivo Le viene spedito.
* Lei accetta espressamente che - nella misura massima consentita dalle norme di legge - Graphisoft esclude qualsiasi garanzia relativa alla CHIAVE SOFTWARE. Se la Sua CHIAVE SOFTWARE dovesse essere distrutta o danneggiata per qualsiasi motivo, è necessario effettuare un nuovoacquisto della CHIAVE SOFTWARE alle condizioni vigenti.
* AD ECCEZIONE DELLA GARANZIA LIMITATA SUL SUPPORTO E SULLA CHIAVE HARDWARE, IL SOFTWARE VIENE VENDUTO “COSÌ COM’È”, SENZA ALCUNA GARANZIA ESPRESSA O IMPLICITA CHE ESSO SIA CONFORME O RISPONDA A QUALSIASI PARTICOLARE SCOPO O CHE IL SOFTWARE POSSA FUNZIONARE SENZA INTERRUZIONI E SENZA ERRORI. GRAPHISOFT RESTA ESENTE DA ALTRE RESPONSABILITÀ ESPRESSE O IMPLICITE, INCLUSE LE GARANZIE DI COMMERCIABILITÀ, IDONEITA’ PER UN PARTICOLARE SCOPO, QUALITÀ, COMPLETEZZA, NON VIOLAZIONE DEI DIRITTI ALTRUI O PRECISIONE DELLE FUNZIONI DEL SOFTWARE.
9. TITOLARITÀ DEL CONTENUTO CARICATO, MATERIALI DI TERZI, SERVIZI
* Tutti i titoli, diritti di proprietà e privativa intellettuale nelle informazioni e negli altri contenuti (ad esempio add-on commerciali e di terze parti) caricati nel Software attraverso apparecchiature elettroniche o Internet per mezzo del Software stesso (collettivamente, i “Contenuti”) sono di proprietà del titolare del relativo Contenuto, incluso senza limitazioni, il Fornitore, i propri affiliati ed ogni fornitore di Contenuti Internet (Provider di Contenuti). Questa licenza non attribuisce a Lei alcuna titolarità o similare diritto con riferimento a ciascun di detti Contenuti.
* Lei accetta che l’utilizzo di alcuni prodotti di Graphisoft nonchè i materiali e i servizi di terzi inclusi nel Software ovvero accessibili tramite lo stesso sono soggetti ai diversi termini e condizioni contenuti in contratti separati consultabili all’indirizzo https://www.graphisoft.com/licenses , e che aderendo ai termini ed alle condizioni del presente Contratto Lei accetta altresì tali ulteriori termini e condizioni.
* Lei accetta che l’utilizzo di alcuni materiali, software e servizi di Graphisoft e di terzi cui avete accesso, utilizzati con l’ausilio del Software potrebbero essere soggetti ai diversi termini e condizioni previsti in un separato contratto, o contratti, di licenza che non compaiono al link sovraindicato, per i quali Graphisoft non assume alcuna responsabilità. Inoltre Graphisoft non assume alcuna responsabilità per l’interoperabilità del Software con materiali, software e servizi di terzi né per il funzionamento o l’utilizzo di materiali, software e servizi di terzi.
* Sia l'Utente che Graphisoft rispetta tutte le leggi, i regolamenti, gli embargo e/o le misure restrittive in materia di sanzioni economiche, commerciali e finanziarie amministrate ("Sanzioni"), nonché tutte le leggi e i regolamenti in materia di controllo delle esportazioni e delle importazioni ("Controlli sul commercio") emanati o applicati dal governo dell'Ungheria, dell'Unione europea e di qualsiasi altro paese pertinente.
* Lei dichiara e sottoscrive in modo permanente che - se Lei è una persona giuridica - né Lei né le Sue filiali, consociate, parti che la detengono o controllano direttamente o indirettamente, né i Suoi direttori e dipendenti, né i Suoi utenti autorizzati sono o saranno designati tra i membri di qualsiasi elenco di Sanzioni applicabili e/o delle parti soggette a restrizioni nei Controlli commerciali
* Graphisoft dichiara e sottoscrive in modo permanente che né la società né le sue filiali, i suoi impiegati le sue consociate, le parti che la detengono o controllano direttamente o indirettamente, sono o saranno designati tra i membri di qualsiasi elenco di Sanzioni applicabili e/o delle parti soggette a restrizioni nei Controlli commerciali.
* Il Software Graphisoft viene concesso in licenza a condizione che la licenza non venga concessa in sub-licenza, trasferita, rilasciata, esportata, fornita o utilizzata da Lei (i) per alcuno scopo o attività vietata o limitata dalle Sanzioni e/o dai Controlli commerciali e (ii) ad alcun paese o territorio soggetto a Sanzioni per intere giurisdizioni, comprese, senza limitazioni, alla data del presente accordo, la Corea del Nord, l'Iran, la Siria, Sudan, Cuba. L'Utente è l'unico responsabile dei contenuti in conformità con le sanzioni e/o i Controlli commerciali applicabili.
* Ciascuna Parte si impegna a informare immediatamente per iscritto l'altra Parte qualora riceva o venga a conoscenza di una violazione della presente sezione 9.
* In deroga a qualsiasi disposizione contraria, ciascuna delle Parti ha il diritto di (i) risolvere immediatamente il presente accordo in caso di violazione di disposizioni della presente sezione 9. e ii) richiedere alla Parte che ha violato le disposizioni pertinenti eventuali perdite dirette subite.
11. CONDIZIONI GENERALI E DI CHIUSURA
* Il presente Contratto NON CONFERISCE all'Utente il diritto al supporto tecnico o all’aggiornamento del Software che Graphisoft potrà di volta in volta offrire. Quale parte della propria politica di vendita Graphisoft potrà a propria discrezione fornire il supporto tecnico e gli aggiornamenti ad utenti registrati del Software secondo i termini di volta in volta definiti da Graphisoft o dai suoi Partner.
* Lei accetta che Graphisoft possa modificare unilateralmente qualsiasi termine del presente Contratto con o senza preavviso. L'utente accetta che Graphisoft non sarà responsabile verso di Lei o chiunque altro per qualsiasi effetto negativo derivante da tali modifiche. Per la versione più recente dell'EULA si prega di visitare la pagina web http://www.graphisoft.com/legal .
* Il presente Contratto costituisce l’intero e pieno accordo fra Lei e Graphisoft con riferimento al Software e supera ogni altro precedente accordo e intesa, sia verbale che scritta. Salvo quanto diversamente comunicatoLe per iscritto dal Graphisoft, le clausole del presente Contratto si applicheranno all’installazione e all’utilizzo delle funzioni aggiuntive del Software e alle riparazioni apportate all’installazione del Software.
* Qualora una parte o una disposizione del presente Contratto sia giudicata contraria alla legge da parte di una giurisdizione competente, essa sarà applicata nella misura massima consentita e la parte residua dell'Contratto resterà valida ed efficace.
* La modalità inglese del presente Contratto sarà la modalità in vigore per interpretazione e la regolamentazione del presente Contratto. Tutte le relative traduzioni sono fornite esclusivamente a scopo informativo, senza alcun valore vincolante e, in nessun caso Graphisoft può essere ritenuta responsabile per danni eventuali, incidentali, indiretti, diretti speciali o consequenziali o danni di qualsiasi tipo risultanti da eventuali traduzioni incomplete o non corrette.
* Il presente Contratto sarà disciplinato dalla legge dell'Ungheria. Eventuali controversie che dovessero insorgere in relazione al presente Contratto, ivi comprese le controversie relative alla validità, interpretazione o risoluzione dell'Contratto saranno risolte in via esclusiva e definitiva da un collegio arbitrale permanente amministrato dalla Camera di Commercio di Budapest in conformità con i suoi regolamenti e procedure. Il Foro competente sarà Budapest.

GRAPHISOFT SOFTWARE LICENSE AGREEMENT
Graphisoft SE Private European Company Limited by Shares, Záhony utca 7. Budapest H-1031 Hungary https://www.graphisoft.com ("Graphisoft") licenses this Software to You, an individual or as the representative of and on behalf of Your employer (collectively referred to as "You") only upon the condition that You accept all of the terms contained in this Software License Agreement ("Agreement").
By accepting the terms of this Software License Agreement, You expressly declare and confirm that You have the full power and capacity to represent Yourself, Your employer and/or the entity on behalf of which You are acting (if any). Should this declaration prove to be false, You shall be responsible and liable in person for all obligations under the Agreement.
This Agreement constitutes a non-exclusive, non-transferable, non-sublicensable, limited license for You to use the enclosed Software and associated documentation, together with the upgrades, updates, new versions and fixes provided to You by Graphisoft (together referred to as the "Software"). The Software is licensed, not sold, to You exclusively for Your own use under the terms and conditions of this Agreement.
The term "Software" includes the following software products and their components:
The Software is owned by Graphisoft and protected by all applicable copyright laws. To the maximum extent permitted by applicable laws, Graphisoft reserves all rights to the Software not expressly granted hereunder and to any reproduction of the Software including its documentation, logos, trademarks, icons and interface in whole or in part. If You copy or use all or any portion of the Software without entering into this Agreement or obtaining the prior written permission of Graphisoft or in non-compliance with any of the terms of this Agreement, You are violating copyright or other intellectual property law, and You may be liable to Graphisoft and its licensors in particular for damages, and You may be subject to criminal penalties.
In order to use Your copy to the software (irrespectively whether you have SOFTWARE or HARDWARE KEY), You acknowledge that You need to have a valid Graphisoft ID and authenticate Your software copy regularly as required by Graphisoft during the term of this Agreement, to be obtained from Graphisoft at https://graphisoftid.graphisoft.com .
YOU MAY USE YOUR COPY OF THE SOFTWARE EITHER IN BIMcloud MODE, OR IN BIMcloud Basic MODE.
YOU ARE ENTITLED TO USE THE BIMcloud MODE ONLY IF YOU HAVE PURCHASED AND CONNECTED THE HARDWARE-BASED PROTECTION KEY (HARDWARE KEY) OR INSTALLED THE SOFTWARE-BASED PROTECTION KEY (SOFTWARE KEY) TO YOUR COMPUTER.
IF YOU LACK ALL THE PROPER AUTHORIZATIONS (FOR EXAMPLE HARDWARE KEY, SOFTWARE KEY) FOR THE USAGE OF THE SOFTWARE, YOU MAY USE THE SOFTWARE ONLY IN BIMcloud Basic MODE.
2. INTERNET-BASED AND NON-INTERNET BASED SERVICE COMPONENTS
2.1. GENERAL PROVISIONS - APPLICABLE TO BIMcloud MODE AND BIMcloud Basic MODE OF THE SOFTWARE:
* The Software may contain components that enable and facilitate the use of certain Internet-based and non-Internet based services. You acknowledge and agree that Graphisoft may automatically check the operation mode, version of the Software and/or its components, its HARDWARE KEY serial number (if any), the SOFTWARE KEY serial number (if any) and the related services that You are utilizing in order to check that You are utilizing the Software according to its purpose, and may provide upgrades, fixes or additional services to the Software in order to advance lawful and improved operation thereof at Graphisoft's sole discretion. Graphisoft shall not be liable for any loss of data or malfunctioning of the Software occurring in connection with Graphisoft's conduct under this paragraph.
* The Software may contain technological measures that are designed to prevent and detect unlicensed use of the Software. Utilizing the Software, You will also install these technical protection measures (hereinafter the "TPM") used by Graphisoft or its foreigner suppliers to collect, transmit and use for law enforcement purposes technical data from Your computer (hereinafter the "Technical Data") in order to prevent and detect unlicensed use of the Software and enforce Graphisoft's intellectual property rights.
* You hereby expressly accept that Graphisoft or its assignee will use TPM to confirm that You have a legally licensed copy of the Software and that You use the Software according to the terms and conditions of this Agreement.
If Graphisoft finds that You are not using a licensed copy of the Software, or that Your use of the Software infringes the terms and conditions of this Agreement, this qualifies as material breach of this Agreement that gives Graphisoft the right to terminate this Agreement with immediate effect without notice and You shall be obliged to compensate Graphisoft for its damages and expenses occurring in connection with the unlawful usage and the breach of this Agreement, and Graphisoft shall be entitled to enforce other rights and claims under the governing laws in force, furthermore You will not be allowed to install future updates of the Software.
2.2. SPECIAL PROVISIONS RELEVANT TO BIMcloud MODE OF THE SOFTWARE:
* You acknowledge that Graphisoft shall from time to time, for different reasons (e.g. reported to be stolen, destroyed or replaced), check whether the Hardware or Software key running Your copy of the Software is valid for commercial usage.
3. INFORMATION AND CONSENT TO USE OF PERSONAL DATA
* Pursuant to the applicable law in force concerning the protection of personal data, by entering into this Agreement You accept that Your personal data (including those Technical Data collected and used by the TPM system) will be collected and processed by Graphisoft for the purposes related to the execution of this Agreement, including the fulfillment of Your obligations, such as those related to Graphisoft's intellectual property rights.
* In line with the above in particular the following data processing take place under the respective terms and conditions:
- BIMcloud processes the following data: Graphisoft ID of person activating BIMcloud, operational system data (such as OS name, build, architecture, platform), BIMcloud Server ID generated at installation, time of activation, BIMcloud version, time of data collection, number of BIMcloud users, number of BIMcloud Projects, number of BIMcloud Libraries, number of LDAP connections, time of last server activity, number of licenses, hardware key's serial number, permission mode.
- Purpose of data processing: improvement of the software and providing information on relevant functionalities and services.
- Legal base of the data processing: if You are a natural person the consent under point a. of Article 6(1) GDPR; if You are an entity the legitimate interest of Graphisoft under point f. of Article 6(1) GDPR.
- Duration of the data processing: Graphisoft deletes all data within 3 years following the end of the BIMcloud subscription.
* You expressly acknowledge that Your personal data processed under this Agreement will be processed, either manually or with the help of electronic or automated means, in such a way as to minimize, by means of suitable security measures, the risk of unauthorized access or disclosure of Your data. Your personal data will be processed during the term of this Agreement in relation to its purposes, also in order to prevent unlicensed use of the Software. For the above purposes Your personal data can be disclosed to third parties (service providers, consultants, collaborators, a list of which is available from within the Privacy Policy), either to other EEA or third countries, pursuant to the scope of this Agreement and any applicable law. In the event of any data transfers to third countries, Graphisoft always uses suitable safeguards (such as the standard contractual clauses adopted by the European Commission, the EU-US Privacy Shield and similar instruments) to ensure the adequate protection of personal data. Graphisoft reserves the right to disclose Your personal data to the competent legal authority if required to do so to enforce or defend its rights or legitimate interests before civil and criminal courts, regulatory bodies, or to execute an order of the competent judicial or regulatory authority. As End User of the Product, You have the right to access the personal data processed by Graphisoft, to obtain the updating or rectification of such data. You also have the right to obtain the erasure of any personal data if, for instance, such data have either been processed unlawfully or are no longer necessary for the purposes for which they were collected or otherwise processed. In certain cases, such as when the processing is unlawful and you oppose the erasure of your data, you have the right to obtain from Graphisoft the restriction of processing. You also have the right to receive the personal data concerning you, which you provided to Graphisoft, in a structured, commonly used and machine-readable format and have the right to transmit those data to another controller. If you consider that the processing of your personal data by Graphisoft infringed the GDPR, please contact us first at privacy@graphisoft.com ; Graphisoft SE Business Compliance Manager; Záhony utca 7. Budapest, H-1031 Hungary so we can remedy the issue. Of course, in such cases you also have the right to lodge a complaint with the Hungarian Data Protection and Freedom of Information Authority ( http://naih.hu/general-information.html ) or another data protection supervisory authority, in particular in the Member State of your habitual residence, place of work or place of the alleged infringement.
* If applicable, You ensure and warrant to us that Your employee has been duly informed of the collection, processing, transfer and usage of his/her personal information by Graphisoft as per the above, and shall indemnify and hold Graphisoft harmless from and against any related third party claims.
* The detailed rules regarding the various rights and obligations related to Graphisoft's data collection, use, transfer, handling, processing, including your subject access rights and rights to legal redress, are set forth in the Privacy Policy constituting an inseparable part of this Agreement available at https://graphisoft.com/legal/privacy-policy .
The license granted by this Agreement is subject to the License Parameters defined hereinafter:
BIMcloud offers both free and paid features: The collection of free features is called BIMcloud Basic, the paid version is called BIMcloud.
* BIMcloud Basic requires a one -time activation of the installed BIMcloud Manager using a valid Graphisoft ID of the customer.
* The Software enables You to install the following software product together:
* Special Conditions: BIMcloud Basic's usage is limited to local area networks (LAN / VPN). Using BIMcloud Basic over wide area networks (WAN / Internet) is strictly forbidden. BIMcloud Basic can be installed on on-premise hardware only. BIMcloud Basic is not allowed to be installed on / operated from cloud based virtual computers.
* These components must be installed on the same computer.
* BIMcloud Basic can work with a single Archicad version only, which must be selected during the configuration process and cannot be changed later.
* If you wish to work with more than one Archicad version, then multiple BIMcloud Basics can be installed on the same (or different) computer(s)
* The software will allow you to use only the free features provided with the BIMcloud Basic.
* Graphisoft reserves the right to modify BIMcloud Basic's free feature set including adding new features or removing features which were previously free.
* You may connect an unlimited number of Clients at any time to a BIMcloud Basic
* BIMcloud Basic can be upgraded to a paid BIMcloud to enable all free and paid features, see BIMcloud license
* The Software consists of several computer programs downloadable from a website, HARDWARE KEY(s) or authorization key necessary for the SOFTWARE KEY installation and accompanying documentation and packaging.
* The Software enables You to install the following software products:
* In order to be able to connect with a Client (e.g. Archicad, BIMx or the browser based BIMcloud Manager user interface) to BIMcloud and access the data stored on BIMcloud Servers, You must have a valid BIMcloud User License. You must purchase the licenses in a number equal to the concurrent Client-BIMcloud connections You want.
As stated, the Software is owned by Graphisoft and all rights to access the data stored, shared or managed by the Software represent the undivided intellectual property of Graphisoft. Therefore, client access is licensed and protected by all applicable copyright laws as BIMcloud User License, and it is an integral part of this agreement. To the maximum extent permitted by applicable laws, Graphisoft reserves all rights to license the data access rights under the name of BIMcloud User License not expressly granted hereunder and to any reproduction, manipulation of the Software or data access including its documentation, logos, trademarks, icons and interface in whole or in part.
* The BIMcloud User License is an annual subscription license. BIMcloud User Licenses will automatically expire at the end of their annual terms unless the Client expressly renew them. This renewal is essential in order to continue to access BIMcloud from Client applications.
* Accessing data on BIMcloud by multiple types of devices simultaneously (e.g.: computer, tablet (mobile device) or smart phone (mobile device)) by a single user requires only one BIMcloud User License per user, which may be used with a maximum of three devices as follows: two mobile devices and one computer, or one mobile device and two computers.
* BIMcloud provides a built-in emergency BIMcloud User License, when the subscription licenses expire or the authorization key is not accessible. This license can be used for backup purposes only and shall not be used for production.
* You expressly agree that BIMcloud User Licenses may only be assigned to real individuals. Under no circumstances may several individuals share the same BIMcloud User License to simultaneously access and author data on the BIMcloud.
* You may install the BIMcloud Manager on a single computer to administer the BIMcloud Server(s) locally or remotely.
* You may connect an unlimited number of BIMcloud Servers to the BIMcloud Manager.
* You may connect a limited number of Clients (equivalent to the number of valid BIMcloud User licenses you have) at any time to a BIMcloud).
* You may make backup copies of BIMcloud Manager in machine-readable form.
* You may install the BIMcloud Server in unlimited instances.
* You may make backup copies of each BIMcloud Server(s) in machine-readable form.
* You may install the BIMcloud Delta Cache in unlimited instances.
* You may make backup copies of the BIMcloud Delta Cache in machine-readable form.
5.1. GENERAL PROVISIONS - APPLICABLE TO BIMcloud MODE AND BIMcloud Basic MODE OF THE SOFTWARE:
* You are expressly prohibited from decompiling, disassembling, reverse engineering, or reducing the Software for any purpose whatsoever.
* You may not unlock or otherwise attempt to discover the source code or underlying algorithms of the Software or attempt to do any of the foregoing in relation to the object code of the Software.
* You may not use the Software for development, compilation, debugging and similar design-time purposes.
* You are expressly prohibited from adapting, modifying, translating or creating any derivative works based in whole or in part on the Software, and from merging the Software into any other software.
* You may not copy any written materials accompanying the Software.
* You are expressly prohibited from dividing Your Software and reselling part(s) of it.
* You may use all elements of the Software as integral components thereof exclusively for the purposes of performing the Software's functionalities set forth by Graphisoft.
* NON-PROVISIONING clause: Unless You have a separate Service Provider License Agreement in force, You are expressly prohibited from providing and provisioning services such as 'Software as a Service' or 'Platform as a Service' (e.g.: 'BIMcloud as a Service' in case of BIMcloud Manager, BIMcloud Server or BIMcloud Delta Cache products and 'Archicad as a Service') for third parties or other similar services which involve the reassignment of our software licenses to third parties e.g.: remarketing, reselling services or cloud services.
* You are prohibited from circumventing or supplying a system in order to circumvent the TPM of the Software and using the Software in any other unauthorized manner.
In case of infringement of any provisions of this chapter, you expressly acknowledge that it constitutes material breach of this Agreement giving the right to Graphisoft to immediately terminate this Agreement, and Graphisoft will take the necessary measures in order that the infringement be terminated and to enforce your compliance with the above provisions. In addition, Graphisoft shall be entitled to enforce payment for its damages as well as other rights and claims under the governing laws in force resulting from your breach of this Agreement.
* Unless You make your own copy of the Software totally unusable, You may not sell, loan, distribute, cede, sublicense, rent or lease or otherwise transfer or assign the right to use the Software, nor transfer or provide access to it by network for commercial use, either in whole or in part. You hereby accept that in case of any type of transfer of the Software by You, this Agreement automatically ceases to exist on the effective date of the transfer and You shall lose all rights arising from this Agreement.
5.2. SPECIAL PROVISIONS RELEVANT TO BIMcloud MODE OF THE SOFTWARE:
* In case of a resold license, You, i.e. the purchaser of the resold Software, shall be required to re-register the Software with Graphisoft's appointed local partners, pay the applicable fees and enter into the applicable Software Support Agreement in order to be entitled to any updates, upgrades, support, etc.
You hereby agree that - in addition to any other license compliance checking set forth in this Agreement or elsewhere - Graphisoft has the right to visit You at the premises where You use the Software upon 7 (seven) days prior written notice in order to check Your records, systems, facilities to verify that Your use of the Software is fully in line with the provisions of this Agreement and with the applicable rules of law. Graphisoft may also appoint a third party to exercise its audit rights. You hereby agree to fully cooperate with Graphisoft in order to successfully perform this verification among others by providing Graphisoft with all requested information and documents.
* Graphisoft may terminate this Agreement with immediate effect without notice following breach of any part of the Agreement. The actual or attempted violation of any of the provisions of the LICENSE PARAMETERS or RESTRICTIONS, as set out above, shall be a material breach of this Agreement giving the right to Graphisoft to terminate this Agreement with immediate effect.
* Upon termination by Graphisoft You are obliged to compensate Graphisoft for its damages and expenses occurring in connection with the breach of this Agreement and Graphisoft shall be entitled to enforce other rights and claims under the governing laws in force.
* In case of termination for any reason, under no circumstances will Graphisoft be liable for reimbursing the price of the Software (if any) or for any other damages.
* This Agreement remains in effect until it is terminated.
* Upon termination, You must destroy the Software and all copies of it and send back the HARDWARE KEY to the local partner of Graphisoft or to the place where You purchased the Software or, if the foregoing is not available or will not accept the HARDWARE KEY, You must return the HARDWARE KEY directly to Graphisoft. You must uninstall the SOFTWARE KEY with the license programming application.
8.1. GENERAL PROVISIONS - APPLICABLE TO BIMcloud MODE AND BIMcloud Basic MODE OF THE SOFTWARE
* No advice or information given by Graphisoft employees, its Partners, resellers, agents, or consultants shall constitute a warranty by Graphisoft or extend the warranty in this Agreement. This Agreement and the warranty provided herein may only be modified by a written amendment signed by a duly authorized executive officer of Graphisoft.
* In no event shall Graphisoft be liable for any loss or damages whatsoever, including but not limited to loss of data, damages for lost income, business interruption, loss of business information, or other special, incidental, consequential, exemplary, multiple, or indirect damages or other pecuniary loss, arising from the use or misuse of the Software, or otherwise under this Agreement, even if Graphisoft or its employees, resellers, or agents have been advised or should have known of the possibility of such damages. In no event will Graphisoft's aggregate liability for any breach of this Agreement, use of the Software or otherwise, exceed the amounts actually paid by You to Graphisoft for this copy of the Software, except as otherwise required by applicable statutory law.
* You accept and confirm that the price of the Software (if any) or the free of charge provision of the Software and the conditions of this Agreement advantageous to You hereof have been determined in consideration of the above provisions on limited warranty.
8.2. SPECIAL PROVISIONS RELEVANT TO BIMcloud MODE OF THE SOFTWARE:
* Graphisoft warrants that - if You receive a HARDWARE KEY to the Software - the HARDWARE KEY will be free of defects for a period of 1 year from the original date of the Software's first sale by Graphisoft/a Graphisoft partner as indicated on the purchase receipt.
* Graphisoft warrants that - if the Software is delivered on DVD(s) - the DVDs on which the Software are delivered will be free from defects for a period of 90 days from the original date of purchase as indicated by Your purchase receipt.
* This limited warranty is void if the failure of the DVDs or HARDWARE KEY in any way resulted from accident, negligence, misuse, abuse, theft, loss, or misapplication.
* The limited warranty period commences on the date that the Software was first purchased from Graphisoft or a Graphisoft partner (i.e. the warranty period shall not restart in case of resale, upgrade, update, etc. of the Software).
* If, within the warranty period, Your DVDs or HARDWARE KEY prove defective, Graphisoft's entire liability and Your exclusive remedy shall be, at Graphisoft's option, to:
- replace the defective DVDs or HARDWARE KEY free of charge provided that they are returned to Graphisoft along with a proof of purchase, or
- refund the price paid for the replacement license. Any replacement DVD or HARDWARE KEY will be warranted for 90 days from the date that the replacement was shipped to You.
* You expressly accept that - to the maximum extent permitted by the applicable rules of law - Graphisoft excludes any warranty related to the SOFTWARE KEY. If Your SOFTWARE KEY is destroyed or damaged for any reason, You must re-purchase the SOFTWARE KEY under the current conditions.
* EXCEPT FOR THE LIMITED WARRANTIES ON THE MEDIA AND THE HARDWARE KEY, THE SOFTWARE IS SOLD "AS IS", WITHOUT ANY WARRANTY, EXPRESSED OR IMPLIED, AS TO ITS CONFORMITY TO OR FITNESS FOR ANY PARTICULAR PURPOSE, OR THAT THE SOFTWARE WILL PERFORM UNINTERRUPTED AND WITHOUT ERRORS. TO THE MAXIMUM EXTENT PERMITTED BY THE APPLICABLE RULES OF LAW, GRAPHISOFT DISCLAIMS ALL OTHER WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUALITY, COMPLETENESS, NON-INFRINGEMENT OR PRECISION OF THE SOFTWARE'S FUNCTIONS.
9. OWNERSHIP OF LOADED CONTENT, THIRD PARTY MATERIALS, SERVICES
* All title, ownership rights, and proprietary rights in and to the information and other content (e.g. commercial and 3rd party add-ons) loaded into the Software from any electronic media or Internet by operation of the Software (collectively, "Content") is the property of the applicable Content owner, including, without limitation, Supplier, its affiliates, and any Internet Content providers ("Content Providers"). This Agreement does not give You ownership or any other rights with respect to any such Content and Graphisoft does not undertake any liability for any such Content.
* You accept that the use of some Graphisoft products and some third party materials and services included in or accessed through the Software are subject to other terms and conditions found in separate license agreement(s) located at https://www.graphisoft.com/licenses , which You also accept by accepting the terms and conditions of this Agreement.
* You accept that the use of some Graphisoft and some third party materials, software and services accessed, used with the help of the Software, may be subject to other terms and conditions found in separate license agreement(s) not appearing at the link indicated above, for which Graphisoft does not assume any liability. Graphisoft also does not assume any liability for the co-operation of the Software with third party materials, software and services or for the operation and use of third party materials, software and services.
*Both You and Graphisoft shall comply with all economic, trade and financial sanctions laws, regulations, embargoes and/or restrictive measures administered ("Sanctions"), as well as all export and import control laws and regulations ("Trade Controls") enacted or enforced by the government of Hungary, the European Union and any other relevant country;
* You represent and covenant on a continuing basis that - if You are a legal entity - neither You nor Your subsidiaries, affiliates, parties which directly or indirectly own or control you, directors, employees nor Your authorized users are or will be designated on any applicable Sanctions and/or Trade Controls restricted parties list;
* Graphisoft represents and covenants on a continuing basis that neither it nor its subsidiaries, affiliates, employees, nor the parties which directly or indirectly own or control it are or will be designated on any applicable Sanctions and/or Trade Controls restricted parties list;
* Graphisoft Software is licensed on conditions that the license shall not be sub-licensed, transferred, released, exported, provided or used by You (i) for any purpose or any activity which is prohibited or restricted by Sanctions and/or Trade Controls and (ii) to any country or territory subject to jurisdiction wide Sanctions including without limitation at the date of this Agreement North Korea, Iran, Syria, Sudan, Cuba. User is solely liable for any Content in compliance with applicable Sanctions and/or Trade Controls.
* Each Party undertakes to immediately notify the other Party in writing if it receives any notice of, or becomes aware of, any violation of this section 9;
* Notwithstanding anything to the contrary, either Party shall have the right to (i) terminate this Agreement immediately if any of the provisions of this section 9 are breached and (ii) seek indemnities from the Party which has breached the relevant provisions for any direct losses incurred.
11. GENERAL AND CLOSING CONDITIONS
* This Agreement DOES NOT give You the right to any technical support for, or upgrades to, the Software which Graphisoft may offer from time to time. Graphisoft may, at its option and as part of its sales and marketing policy, make such technical support and upgrades available to registered users of the Software under terms to be determined from time to time by Graphisoft or its Partners.
* You accept that Graphisoft may unilaterally modify any term of this Agreement with or without notice to You. You agree that Graphisoft shall not be liable to you or anyone else for any negative effect deriving from such modifications. * This Agreement constitutes the full, complete agreement between You and Graphisoft concerning the Software and supersedes all prior agreements and understandings, either written or oral. Unless otherwise communicated to You by Graphisoft in writing, the conditions of this Agreement shall apply to the installation and use of additional functions of the Software and to the repair of the Software's installation.
* If any part or provision of this Agreement is found to be contrary to law by a competent jurisdiction, that part or provision shall be enforced to the maximum extent allowed, and the remaining Agreement shall remain in full force and effect.
* The English version of this Agreement will be the governing version used when interpreting or construing this Agreement. Any translations thereof shall exclusively be provided for information purposes without any binding force and in no event shall Graphisoft be liable for any direct, indirect, incidental, special or consequential damages or damages whatsoever resulting from any incorrect, incomplete translations.
* This Agreement is governed by the laws of Hungary. Any disputes arising from this Agreement, including those disputes relating to the validity, interpretation or termination of the Agreement, shall be exclusively and finally settled by the Permanent Arbitrate Tribunal formed beside the Hungarian Chamber of Commerce and Industry, Budapest, in accordance with its own rules of procedure. The place of jurisdiction shall be in Budapest.
