CONTRAT DE LICENCE DE LOGICIEL DE GRAPHISOFT

1. LICENCE

1.1. PROVISIONS GENERALES - APPLICABLES AUX MODES COMMERCIAL, ESSAI, DEMO ET EDUCATION DU LOGICIEL, AUX EXTENSIONS DU LOGICIEL ET AUX GOODIES AJOUTES AU LOGICIEL :

Graphisoft SE Société privée européenne à responsabilité limitéeZáhony utca 7. Budapest H-1031 Hongrie https://www.graphisoft.com ("Graphisoft") concède la licence de ce logiciel à vous à titre individuel ou au nom de votre employeur ("vous") sous la seule condition que vous acceptez toutes les dispositions de ce Contrat de licence de logiciel ("Contrat").

En acceptant les dispositions de ce Contrat de licence de logiciel vous déclarez que vous êtes autorisé à représenter pleinement vous-même, votre employeur ou l'organisation pour le compte de laquelle vous agissez (si tel est le cas). Si cette déclaration devait se révéler infondée, vous serez personnellement responsable et passible de toutes les conséquences de ce Contrat.

Ce contrat de licence constitue une licence non exclusive, non transférable et limitée vous autorisant l'utilisation du produit (conjointement dénommées le Logiciel) en tant qu'utilisateur final. Ce Logiciel ne vous est pas vendu, il vous est accordé sous licence, uniquement pour votre usage personnel dans les termes et aux conditions stipulées dans cette licence. Le Logiciel ne vous appartient pas, il reste la propriété de Graphisoft.

Le Logiciel ne vous appartient pas, il reste la propriété de Graphisoft. Graphisoft se réserve tous les droits de reproduction du Logiciel y compris sa documentation, ses logos, ses marques, ses icônes et l'interface en général dans sa totalité ou en partie. Si vous copiez ou utilisez, en totalité ou en partie, une quelconque partie du Logiciel sans en avoir fait préalablement une demande par écrit auprès de Graphisoft, vous violez les lois du copyright et de la protection intellectuelle et vous vous exposez à toutes poursuites de police et de justice.

Pour utiliser votre copie du logiciel (qu’elle soit protégée par une clé LOGICIELLE ou MATÉRIELLE), vous reconnaissez que vous possédez un Graphisoft ID valable et authentifiez votre copie du logiciel régulièrement comme requis par Graphisoft pendant la durée de ce contrat, à obtenir auprès de Graphisoft à https://graphisoftid.graphisoft.com .

Graphisoft peut offrir la possibilité de télécharger et d'essayer des mises à jour qui sont en phase préliminaire (non définitive), mais vous les utiliserez à votre propre discrétion et - dans la mesure maximale permise par les lois applicables - Graphisoft ne prend aucune responsabilité pour les dommages qu’une telle mise à jour peut causer.

PROVISIONS SPECIALES APPLICABLES AUX MODES COMMERCIAL, ESSAI, DEMO ET EDUCATION DU LOGICIEL :

VOUS POUVEZ UTILISER VOTRE EXEMPLAIRE DU LOGICIEL EN MODE COMMERCIAL, MODE D'EVALUATION, EN MODE EDUCATION OU EN MODE DE DEMONSTRATION.

VOUS N'AVEZ LE DROIT D'UTILISER LE MODE COMMERCIAL QUE SI VOUS AVEZ ACHETE ET CONNECTE LA CLEF DE PROTECTION ELECTRONIQUE OU INSTALLE LA CLEF LOGICIEL SUR VOTRE ORDINATEUR. SANS LA CLEF ELECTRONIQUE OU LA CLEF LOGICIEL, LE MODE D'ESSAI DU LOGICIEL PEUT ETRE UTILISE PENDANT UNE DUREE LIMITEE SI VOUS POSSEDEZ UN NUMERO DE SERIE D'EVALUATION.

VOUS NE POUVEZ UTILISER LE MODE EDUCATION QUE POUR L'INSTRUCTION ET L'APPRENTISSAGE PERSONNEL ET CE UNIQUEMENT APRES AVOIR RECU LE NUMERO DE SERIE EDUCATION APPROPRIE DE LA PART DE GRAPHISOFT OU L'UN DE SES PARTENAIRES.

SI VOUS NE DISPOSEZ D'AUCUNE AUTORISATION APPROPRIEE (CLEF PHYSIQUE, CLEF LOGICIEL OU NUMERO DE SERIE) POUR L'UTILISATION DU LOGICIEL, VOUS POUVEZ UTILISER LE LOGICIEL EN MODE DE DEMONSTRATION SEULEMENT.

1.2. PROVISIONS SPECIALES CONCERNANT LES EXTENSIONS DU LOGICIEL :

VOUS POUVEZ UTILISER LES EXTENSIONS'EN CONJONCTION AVEC UNE APPLICATION HOTE (PAR EX. Archicad, ETC.). EN FONCTION DU MODE D'UTILISATION COURANT DE L'APPLICATION HOTE, VOUS POUVEZ UTILISER VOTRE EXEMPLAIRE DU LOGICIEL EN MODE COMMERCIAL, EN MODE D'ESSAI, EN MODE EDUCATION OU EN MODE DEMO. VOUS N'AVEZ LE DROIT D'UTILISER LE MODE COMMERCIAL QU'A CONDITION D'AVOIR ACQUIS ET APPLIQUE LA LICENCE DU LOGICIEL CORRESPONDANTE A VOTRE CLEF DE PROTECTION ELECTRONIQUE (CLEF PHYSIQUE) OU A VOTRE CLEF DE PROTECTION FONDEE LOGICIEL (CLEF LOGICIEL).

1.3. PROVISIONS SPECIALES CONCERNANT LES GOODIES DU LOGICIEL :

VOUS POUVEZ UTILISER LES GOODIES'EN CONJONCTION AVEC UNE APPLICATION HOTE (PAR EX. Archicad, ETC.).

2. COMPOSANTS DE SERVICES FONDES INTERNET ET NON FONDES INTERNET

2.1. PROVISIONS GENERALES - APPLICABLES AUX MODES COMMERCIAL, ESSAI, DEMO ET EDUCATION DU LOGICIEL, AUX EXTENSIONS DU LOGICIEL ET AUX GOODIES AJOUTES AU LOGICIEL :

* Le Logiciel peut contenir des composants qui permettent ou facilitent l'utilisation de certains services fondés internet et non fondés internet. Vous reconnaissez et acceptez que Graphisoft puisse automatiquement vérifier la version du Logiciel que vous utilisez, le numéro de série de la CLEF ELECTRONIQUE (s'il y en a un), le numéro de série de la CLEF LOGICIEL (s'il y en a un), le numéro de série d'essai ou d'éducation (s'il y en a un) et les services liés pour vérifier que vous utilisez le logiciel de manière légitime et puisse fournir des mises à jour au logiciel pour en légaliser ou améliorer l'utilisation. Graphisoft ne peut être tenu responsable d'aucune perte de données ou de mauvais fonctionnement du logiciel qui se produirait lors d'une opération entreprise par Graphisoft sous ce point.

* Vous reconnaissez que l'utilisation de clés LOGICIELLES ou MATÉRIELLES sur liste noire et de clés LOGICIELLES sur liste grise ainsi que l'utilisation de la ou des licences qui y sont liées sont interdites. Graphisoft a le droit de révoquer/invalider la licence fonctionnant sur une clé LOGICIELLE ou HARDWARE en liste noire et sur une clé LOGICIELLE en liste grise. Graphisoft est également en droit d'effacer tout le contenu de la clé LOGICIELLE ou MATÉRIELLE en liste noire et de la clé LOGICIELLE en liste grise. Votre droit d'utiliser la licence qui a été utilisée sur une clé LOGICIELLE ou MATÉRIELLE en liste noire ou sur une clé LOGICIELLE en liste grise prend automatiquement fin lorsque la clé est enregistrée en liste noire ou grise par Graphisoft. Graphisoft vous informe sans délai de la suppression de la licence de la clé.

Une clé LOGICIELLE ou MATÉRIELLE sur liste noire est clé de protection dont l'utilisation est interdite à toutes fins. Graphisoft enregistre les clés de protection en liste noire dans les systèmes de Graphisoft sur la base d'une notification faite à Graphisoft comme étant remboursée, volée, détruite, endommagée ou perdue. Si vous êtes propriétaire d'une clé sur liste noire et que vous souhaitez obtenir plus d'informations, veuillez contacter votre partenaire Graphisoft ou le tiers auprès duquel vous avez acheté votre licence et votre clé de protection.

Une clé LOGICIELLE en liste grise est une clé de protection dont la licence est activée sur votre ordinateur mais qui, dans le système de Graphisoft, est toujours listée comme disponible pour l'activation en raison de problèmes de communication du système lors du processus d'activation de la licence.

* Le logiciel peut contenir des mesures technologiques visant à prévenir et détecter l'utilisation non autorisée du logiciel. Par l'utilisation du logiciel, vous installer également ces mesures de protection technologiques (dorénavant "MPT") utilisées par Graphisoft ou ses partenaires tiers pour réunir, transmettre et utiliser pour des fins légales des données techniques liées à votre ordinateur (dorénavant "Données techniques") dans le but de prévenir et de détecter l'utilisation non autorisée du logiciel et de faire valoir les droits à la propriété intellectuelle de Graphisoft.

* Par la présente, vous acceptez expressément que Graphisoft ou son représentant utilise les MPT pour s'assurer que vous possédez un exemplaire légalement obtenu du logiciel et que vous utilisez le logiciel en conformité avec les conditions de l'accord de licence.

Si Graphisoft découvre que vous n'utilisez pas un exemplaire légalement obtenu du logiciel ou que votre utilisation du logiciel contrevient aux conditions de cet accord de licence, ceci représente une rupture matérielle de cet accord, conférant à Graphisoft de mettre un terme à l'accord avec effet immédiat et sans préavis, et vous vous verrez obligé de verser une compensation à Graphisoft pour dommages et dépenses liés à l'utilisation illégale et à la rupture du contrat. Graphisoft sera en droit de faire valoir d'autres droits sous la loi applicable. De plus, vous ne serez pas à utiliser les mises à jour à venir du logiciel.

2.2. PROVISIONS SPECIALES CONCERNANT LE MODE COMMERCIAL DU LOGICIEL :

* Vous acceptez que, dans le cas du mode commercial, Graphisoft peut de temps à autre, pour des raison diverses (par exemple exemplaires rapportés comme volés, détruits ou remplacés) vérifier que la clef de protection électronique ou la clef logiciel de votre exemplaire du logiciel est bien valable pour l'utilisation commerciale.

2.3. PROVISIONS SPECIALES CONCERNANT LES EXTENSIONS DU LOGICIEL :

* Vous acceptez que Graphisoft peut de temps à autre, pour des raison diverses (par exemple exemplaires rapportés comme volés, détruits ou remplacés) vérifier que la clef de protection électronique ou la clef logiciel de votre exemplaire du logiciel est bien valable pour l'utilisation commerciale.

3. INFORMATION ET CONSENTEMENT A L'UTILISATION DES DONNEES PERSONNELLES

* Conformément à la législation applicable concernant la protection des données personnelles, vous acceptez avec cet Accord que vous données personnelles (y compris les données techniques réunies et utilisées par le système TPM) seront réunies et traitées par Graphisoft dans un but lié à l'exécution de cet Accord, y compris la performance de vos obligations, y compris ceux liés à la propriété intellectuelle de Graphisoft.

* Conformément aux susmentionnés, les processus de collecte de données suivantes ont lieu selon les termes et conditions respectives :

A. Rapport de blocage

L'objectif du rapport de blocage consiste à identifier les défauts du logiciel et à y remédier. Le rapport de blocage est envoyé par le Logiciel à Graphisoft chaque fois que le Logiciel identifie une malfonction ou une erreur fatale entraînanant l'arrêt total du Logiciel.
Si vous donnez votre consentement à Graphisoft, le rapport de blocage inclut les données personnelles indiquées dans l'article cinq ci-dessous pour les buts d'une assistance technique éventuelle qui pourra vous être fournie par Graphisoft en tant qu'utilisateur final du Logiciel, sinon le rapport de blocage sera entièrement anonyme. Le rapport utilise des pseudonymes, ce qui veut dire qu'il est impossible de vous identifier, à moins que vous ne fournissiez à Graphisoft des données d'identification (telles que l'ID de votre matériel et votre ID d'utilisateur et de projet) qui permettent à Graphisoft de vous identifier.
En donnant votre consentement, les rapports de blocage générées seront envoyés 30 jours de suite à Graphisoft en incluant vos données personnelles indiquée dans l'article cinq ci-dessous. Vous pouvez révoquer votre consentement à tout moement pendant la periode de 30 jours.
La révocation de votre consentement annule l'inclusion de vos données personnelles dans les rapports de blocage suivants, mais elle n'entraîne pas la suppression des données personnelles préalablement envoyées. Pour demander la suppression de telles données traitées, vous devez contacter support@graphisoft.com.
Données personnelles traitées : le Logiciel réunit et envoie à Graphisoft certaines données du matériel sur lequel est utilisé la licence (telles que les informations sur les composants du matériel, le type et l'identifiant de la clef électronique), la liste et la version des composants Archicad, le nom des applications lancées au moment donnée et les données techniques liées au blocage du Logiciel (par exemple l'opération entreprise au moment où le problème s'est produit, le contenu de la mémoire, les processus de système lancés, les variables système, la version des composants du système, la date et l'heure du système, le nom de l'ordinateur, le nom de connexion de l'utilisateur), toute information personnelle et de contact que vous partagez volontairement en envoyant le rapport de blocage.
Base juridique du traitement des données : si vous êtes une personne physique, le consentement se fait en vertu du point a) de l'article 6 (1), du RGPD; si vous êtes une entité, l'intérêt légitime de Graphisoft est défini en vertu du point f. de l'article 6 (1) du RGPD.
Durée du traitement des données : tant que Graphisoft fournit une assistance technique pour la version donnée d'Archicad, mais au maximum pour une période de 5 ans à compter de la date de la réunion des données.

B. Programme d'amélioration de l'expérience utilisateur ("CEIP")

Le logiciel collecte des données sur la durée, la fréquence d'utilisation de chaque fonction du logiciel Archicad; des informations sur le matériel, les logiciels et les produits et les envoie à Graphisoft.
Le rapport utilise des pseudonymes, ce qui veut dire qu'il est impossible de vous identifier, à moins que vous ne fournissiez à Graphisoft des données d'identification (telles que l'ID de votre matériel, votre ID d'utilisateur et de projet) qui permettent à Graphisoft de vous identifier.
Objectif du traitement des données: Réunit un retour sur la manière dont vous utilisez le logiciel, ses fonctionnalités, ses nouvelles fonctions et les malfonctions pour améliorer le logiciel et pour trouver des solutions à des problème communs.
Une fois que vous l'avez activé, le CEIP est automatiquement lancé en tâche de fond. Vous pouvez l'arrêter à tout moment en désactivant la fonction.
Base juridique du traitement des données : si vous êtes une personne physique, le consentement se fait en vertu du point a) de l'article 6 (1), du RGPD; si vous êtes une entité, l'intérêt légitime de Graphisoft est défini en vertu du point f. de l'article 6 (1) du RGPD.
Durée du traitement des données : tant que Graphisoft fournit une assistance technique pour la version donnée d'Archicad, mais au maximum pour une période de 5 ans à compter de la date de la réunion des données.

C. SSA/Forward Vérification de la validité du contrat de service si vous êtes une personne naturelle

Le logiciel réunit et envoie à Graphisoft certaines données du logiciel (telles que la version et la langue du logiciel), le type et l'identifiant de la clef électronique.
L'objectif du traitement des données consiste à déterminer l'éligibilité à la réception du contenu lié au contrat de SSA/Forward.
Base légale du traiement des données : le traitement est nécessaire pour l'exécution d'un contrat auquel les données sont asujetties (point b. de l'Article 6(1) du RGPD).
durée du traitement des données : 1 an à compter de la date de terminaison du contrat SSA/Forward.

D. Vérification de l'état du logiciel si vous êtes une personne naturelle

Le logiciel réunit et envoie à Graphisoft certaines données du logiciel (telles que la version la localisation et le mode d'opération du logiciel), le type et l'identifiant de la clef électronique.
Objectif du traitement des données : identifier les mises à jour disponibles compatibles avec le logiciel et vérifier que la clé de protection ne figure pas sur la liste noire ou grise.
Base légale du traiement des données : le traitement est nécessaire pour l'exécution d'un contrat auquel les données sont asujetties (point b. de l'Article 6(1) du RGPD). Si vous appartenez à une entité, aucune donnée personnelle n'est réunie.
Durée du traitement des données : la durée de Votre licence.

E. BIMcloud

BIMcloud traite les données suivantes : L'ID de Graphisoft de la personne activant BIMcloud, les données du système d'exploitation (nom du système, révision, architecture, plate-forme), ID de BIMcloud Server généré à l'installation, date et heure de l'activation, version de BIMcloud, date et heure de la réunion des données, nombre des utilisateurs de BIMcloud, nombre des projets BIMcloud, nombre des bibliothèques BIMcloud, nombre des connexions LDAP, date et heure de la dernière activité sur le serveur, nombre des licences, numéro de série de la clef électronique, mode d'autorisation.
Amélioration du logiciel et collection de données sur les fonctionnalités et services appropriés.
Base juridique du traitement des données : si vous êtes une personne physique, le consentement se fait en vertu du point a) de l'article 6 (1), du RGPD; si vous êtes une entité, l'intérêt légitime de Graphisoft est défini en vertu du point f. de l'article 6 (1) du RGPD.
durée du traitement des données : Graphisoft efface toutes les données dans les 3 ans suivant la fin de la souscription BIMcloud.

F. BIMcloud SaaS

Pour utiliser BIMcloud en tant que service (SaaS), au moins un ID de Graphisoft doit être enregistré (administrateur enregistré) qui poura alors créer des utilisateurs supplémentaires (utilisateurs enregistrés).
BIMcloud SaaS réunit et stocke les données suivantes des utilisateurs enregistrés par l'Utilisateur final : nom d'utilisateur, prénom, nom de famille, adresse de courriel, photo. Tous les fichiers projet Archicad téléversés par un utilisateur enregistré par l'Utilisateur final avec toutes les informations personnelles et non personnelles disponibles dans les téléversés seront partagés avec tous les autres utilisateurs enregistrés de l'Utilisateur final. C'est l'Utilisateur final qui reste entièrement responsable pour tous les contenus, partages et autorisations fournis à ses utilisateurs enregistrés. Graphisoft est le seul à traiter les données et l'Utilisateur final est le seul à contrôler les données.
les serveurs virtuels sur lesquels BIMcloud SaaS sont lancés sont activés sur le Google Cloud et gérés par Google. Les services de nom de domaine sont fournis par Amazon. Les serveurs physiques se trouvent dans l'Union européenne et aux Etats-Unis.
Les informations réunies et le contenu téléversé par l'Utilisateur final, son administrateur enregistré et tous les autres utilisateurs enregistrés par l'Utilisateur final en utilisant BIMcloud SaaS sont stockées sur des serveurs utilisés par Graphisoft se trouvant dans l'Union européenne et aux Etats-Unis et également sur Google Cloud comme décrit plus haut. Graphisoft fait de son mieux pour conserver les données liées à l'utilisateur final sur des serveurs situés dans le pays identifié à l'achat de la licence par le code du partenaire. L'objectif de cette sélection consiste à vous assurer le service le plus rapide que possible.
Base juridique du traitement des données : si vous êtes une personne physique, le consentement se fait en vertu du point a) de l'article 6 (1), du RGPD; si vous êtes une entité, l'intérêt légitime de Graphisoft est défini en vertu du point f. de l'article 6 (1) du RGPD.
Lorsque le contrat BIMcloud SaaS expire, Graphisoft supprime toutes ces données sur ces serveurs en un mois, tandis que les données stockées sur Google Cloud sont effacées deux mois après l'expiration du contrat.

G. Archicad Support Package

Support Package est un outil nécessaire pour l'équipe d'assistance technique de Graphisoft pour pouvoir enquêter sur les problèmes que vous pourriez rencontrer pendant l'utilisation Archicad, bien que l'assistance technique soit en fait fondée sur votre éligibilité (par exemple un contrat de service de logiciel - "SSA" ou Graphisoft Forward - "Forward" ). Support Package peut être lancé manieuellement, les archives créées contenant des données techniques et non techniques de votre serveur sur lequel BIMcloud est lancé et/ou sur l'ordinateur client sur lequel Archicad est lancé. Une fois que l'archive a été créée, vous devez la soumettre à Graphisoft de la manière recommandée par le représentant de l'assistance Graphisoft.
Les données réunies peuvent également contenir des données personnelles :
si vous lancez l'option "Journaux du serveur", elles contiendront la base de données du serveur qui peut inclure tous les noms d'utilisateur, adresses de courriel, noms de projet, IDs de matériel et adresses IP/domaine ou même encore les mots de passe cryptés que vous avez appliqués.
si vous lancez l'option "Journaux du client", elles peuvent contenir les mêmes données et catégories que l'option "Journaux du serveur", mais du côté du client.
quelle que soit l'option que vous sélectionnez, l'archive Support Package inclut les fichiers projet qui peuvent également contenir les données personnelles disponibles à l'intérieur de ces derniers (par ex. nom de projet, nom et adresse du client) que vous y avez inscrites. Comme Graphisoft ne peut filtrer, limiter ou contrôler l'ampleur de ces données personnelles, Graphisoft ne peut être tenu responsable pour l'accès à ces données. En utilisant l'option Contenu de l'archive, Personnalisé, vous pouvez exclure de l'archive à créer le contenu du projet.
fondation légale du traitement des données : Selon l'Article 28 du RGDP, Graphisoft est l'entité traitant le projet et n'utilise aucune donnée personnelles qui lui a été rendue disponible.
Durée du traitement des données : tant que Graphisoft fournit une assistance technique pour la version donnée d'Archicad, mais au maximum pour une période de 5 ans à compter de la date de la réunion des données.

* Vous acceptez que vos données personnelles traitées selon cet accord seront traitées soient manuellement, soit par des moyens électroniques ou automatisées de manière à réduire au minimum, par le biais des mesures de sécurités appropriées, le risque de tout accès non autorisé à vos données. Vos données personnelles seront traitées pendant la durée de cet Accord en relation avec ses objectifs et également pour empêcher l'usage illicite du Logiciel. Pour les objectifs ci-dessus, vos données personnelles pourront être transmises à des tiers (prestataires de services, consultants, collaborateurs, dont la la liste est disponible dans le cadre de nos termes de confidentialité), soit dans d'autres pays de l'EEE, soit dans des pays tiers, conformément à l'étendue de cet Accord et des lois applicables. Au cas où des données sont transférées vers d'autres pays, Graphisoft utilise toujours les mesures de sécurité appropriées (telles que les clauses contractuelles standard adoptée par la Commission européenne, le Bouclier de protection des données UE-États-Unis et d'autres instruments) pour assurer la protection appropriée des données personnelles. Graphisoft se réserve le droit de transmettre vos données personnelles aux autorités légales compétentes si cela est requis pour faire valoir ou protéger ses droits ou ses intérêts légitimes devant un tribunal civil ou pénal ou un organe régulatoire our pour exécuter un ordre émanant d'une autorité judiciaire ou régulatoire. En tant qu'utlisateur final du Produit, vous avez le droit d'accéder à vos données personnelles traitées par Graphisoft pour obtenir la mise à jour ou la rectification de ces données. Vous avez également le droit d'obtenir l'effacement de vos données personnelles si, par exemple, ces données ont été traitées de manière illicite ou si elles ne sont plus nécessaires pour l'objectif pour lequel elles ont été réunies ou traitées. Dans certains cas, par exemple en cas de traitement illégal lorsque vous ne demandez pas l'effacement de vos données, vous avez le droit d'obtenir la restriction du traitement de vos données par Graphisoft. * Les règles détaillées concernant les droits et obligations liés à la réunion, l'utilisation, le transfert et traitement des données par Graphisoft, y compris vos droits d'accès et vos droits au recours légal, sont définies dans la Déclaration de confidentialité qui fait partie inséparable de ce Contrat, disponible à https://graphisoft.com/legal/privacy-policy .

4. CONDITIONS DE LA LICENCE

4.1. PROVISIONS SPECIALES CONCERNANT LES MODES COMMERCIAL, ESSAI, DEMO ET EDUCATION DU LOGICIEL :

Le présent contrat de licence est régi par les conditions suivantes :

A : Mode commercial

* Le Logiciel est constitué d'un programme informatique téléchargeable sur un site internet ou fourni sous la forme d'un ou plusieurs DVDs, un code d'activation pour une CLEF DE PROTECTION ELECTRONIQUE ou une clef d’identification nécessaire à l'installation de la CLEF LOGICIEL, une documentation et un coffret.

* Le mode commercial peut être de durée limitée ou illimitée, selon les conditions déterminées lors de l'achat de votre produit.

* Vous pouvez utiliser le Logiciel sur un seul ordinateur à la fois.

B : Mode d'évaluation

* Le Logiciel est constitué d'un programme informatique téléchargeable d'un site web ou fourni sous la forme d'un ou plusieurs DVDs.

* Le Logiciel est accompagné d'une fonction de contrôle temporelle liée à une numéro de série désactivant le logiciel Vous êtes autorisé à utiliser le Logiciel pendant trente (30) jours à compter de la date d'installation du Logiciel.

* Vous pouvez utiliser ce Logiciel dans un but non-commercial, au sens d'une utilisation uniquement dans les domaines de l'éducation et de la recherche, excluant sans limitation, tout autre utilisation du Logiciel dans son ensemble ou en partie, et en aucun cas en relation avec un autre produit (y compris Logiciel). Il ne peut en aucun cas être utilisé en prestation de services, ni vendu, distribué, cédé, sous licencié, loué, transféré ou attribué de quelque autre manière au profit d'un tiers.

* Vous pouvez utiliser le Logiciel sur un seul ordinateur à la fois.

* Pour convertir cette licence en une licence commerciale, veuillez contacter votre revendeur local ou Graphisoft.

C : Mode d'éducation

* Le Logiciel est constitué d'un programme informatique téléchargeable d'un site web ou fourni sous la forme d'un ou plusieurs DVDs.

* Le Logiciel est accompagné d'une fonction de contrôle temporelle liée à une numéro de série désactivant le logiciel Vous êtes autorisé à utiliser le logiciel pendant un mois à compter de la date d'installation du logiciel. Graphisoft peut décider de vous envoyer un numéro de série que vous permet d'utiliser le Logiciel pour une période supplémentaire d'un an ("Période de licence"). Lors de l'expiration de la période de licence, l'utilisation du logiciel sera désactivée automatiquement sans autre préavis.

* Ceci est le mode pour l'éducation du logiciel autorisé uniquement pour l'utilisation par des étudiants, enseignants et membres du personnel des institutions d'enseignement. On entend ici par étudiant un étudiant poursuivant actuellement ses études dans une institution d'enseignement supérieure ou prenant part à un cours d'au moins 3 crédits ou un étudiant qui peut justifier son inscription pour une période d'au moins 9 mois dans une université en vue d'obtenir un certificat. Ce mode est uniquement réservé à l'usage éducationnel, il est strictement interdit de l'utiliser pour des fins commerciales ou professionnelles. En acceptant les termes de ce contrat de licence, vous déclarez expressément que vous honorez les conditions de ce contrat qui vous permet de profiter des conditions avantageuses offertes par Graphisoft exclusivement aux étudiants, aux enseignants et aux membres du personnel d'une institution d'enseignement. Si cette déclaration devait se révéler infondée, vous serez personnellement responsable et passible de toutes les conséquences de ce Contrat.

* Vous êtes en possession d'une licence spéciale non exclusive du logiciel limité dans ses fonctionnalités à utiliser uniquement pour des fins d'éducation pendant la période permise par le numéro de série mais au maximum pendant la durée de votre enregistrement ou emploi dans une institution scolaire.

* Vous pouvez utiliser le Logiciel sur plusieurs ordinateurs pour l'éducation ou pour la recherche.

* Pour convertir cette licence en une licence commerciale, veuillez contacter votre revendeur local ou Graphisoft.

D : Mode de démonstration

* Vous pouvez utiliser le mode démonstration en l'absence d'une clef électronique ou d'une clef logiciel requise pour l'utilisation en mode commercial ou après expiration du numéro de série requis pour le mode d'essai ou d'éducation.

* En mode de démonstration, vous pouvez explorer les fonctions du logiciel sans pour utiliser les fonction Copier, Enregistrer et Partage.

4.2. PROVISIONS SPECIALES CONCERNANT LES EXTENSIONS DU LOGICIEL :

A : Mode commercial

* Le Logiciel est constitué d'un programme informatique téléchargeable sur un site internet ou fourni sous la forme d'un ou plusieurs DVDs, les licences de logiciel appropriées pour une CLEF DE PROTECTION ELECTRONIQUE ou une clef d’identification nécessaire à l'installation de la CLEF LOGICIEL, une documentation et un coffret.

* Le mode commercial peut être de durée limitée ou illimitée, selon les conditions déterminées lors de l'achat de votre produit.

* Vous pouvez utiliser le Logiciel sur un seul ordinateur à la fois.

B : Mode d'évaluation

* Le Logiciel est constitué d'un programme informatique téléchargeable d'un site web ou fourni sous la forme d'un ou plusieurs DVDs.

* En mode d'Essai, l'application hôte est pourvu d'une fonction de désactivation temporelle. Vous êtes autorisé à utiliser le logiciel tant que le mode d'Essai de l'application hôte est en vigueur.

* Vous pouvez utiliser le Logiciel sur un seul ordinateur à la fois.

* Pour convertir cette licence en une licence commerciale, veuillez contacter votre revendeur local ou Graphisoft.

C : Mode d'éducation

* Le Logiciel est constitué d'un programme informatique téléchargeable d'un site web ou fourni sous la forme d'un ou plusieurs DVDs.

* En mode Education, l'application hôte est pourvu d'une fonction de désactivation temporelle. Vous êtes autorisé à utiliser le logiciel tant que le mode Education de l'application hôte est en vigueur.

* Vous pouvez utiliser le Logiciel sur plusieurs ordinateurs pour l'éducation ou pour la recherche.

* Pour convertir cette licence en une licence commerciale, veuillez contacter votre revendeur local ou Graphisoft.

D : Mode de démonstration

* Vous pouvez utiliser le mode démonstration en l'absence d'une licence requise pour l'utilisation en mode commercial ou après expiration du numéro de série requis pour le mode d'évaluation ou d'éducation.

* En mode de démonstration, vous pouvez explorer les fonctions du logiciel sans pour utiliser les fonction Copier, Enregistrer et Partage.

4.3. PROVISIONS SPECIALES CONCERNANT LES GOODIES DU LOGICIEL :

* Le Logiciel est un programme informatique téléchargeable à partir d'un site web.

* Vous pouvez utiliser le Logiciel sur un seul ordinateur à la fois.

5. RESTRICTIONS

5.1. PROVISIONS GENERALES - APPLICABLES AUX MODES COMMERCIAL, ESSAI, DEMO ET EDUCATION DU LOGICIEL, AUX EXTENSIONS DU LOGICIEL ET AUX GOODIES AJOUTES AU LOGICIEL :

* Vous n'êtes pas autorisé à vendre, prêter distribuer, céder, sous-licencier, louer ou céder sous leasing ni transférer ni attribuer de quelque autre manière le droit d'utiliser ce Logiciel sauf tel qu'il est déterminé ci-dessus, ni de le transférer sur réseau pour une utilisation commerciale, dans sa totalité ou en partie, sans autorisation spécifique écrite accordée par Graphisoft.

* Il vous est expressément interdit de décompiler, désassembler, remonter en ingénierie inverse ou réduire le Logiciel à une forme humainement compréhensible pour quelque raison que ce soit.

* Vous ne pouvez pas déverrouiller ou essayer de découvrir le code source ou les algorithmes sous-jacents du Logiciel; ni essayer les mêmes en relation au code objet du logiciel.

* Vous ne pouvez pas utiliser le Logiciel pour des fins de développement, de compilation, de débogage ou d'autres fins de conception.

* Il vous est expressément interdit d'adapter, de modifier, de traduire ou de créer aucun produit dérivé basé sur la totalité ou une partie du Logiciel, et de fusionner le Logiciel avec un autre logiciel.

* Vous ne pouvez copier aucune partie des matériels écrits qui accompagnent le Logiciel.

* Il vous est expressément interdit de diviser votre licencer et d'en revendre des parties.

* Vous ne pouvez utiliser tous les éléments du Logiciel qu'en tant que ses composants intégrés, et ce uniquement dans le but d'exécuter la fonctionnalité définie par Graphisoft.

A moins de posséder un contrat de licence de service en vigueur, il vous est explicitement interdit de fournir "Software as a Service" (par exemple : "Archicad as a Service") à des parties tierces, ni d'autres services similaires qui entraînerait la réaffectation de nos licences de logiciel à des parties tierces, par exemple par la revente de services ou de services de nuage.

* Il vous est interdit de circonvenir aux MPT du logiciel ou de fournier un système permettant d'y circonvenir et d'utiliser le logiciel d'une manière non autorisée .

En cas de rupture des provisions de ce chapitre, vous reconnaissez explicitement que Graphisoft est en droit de mettre fin immédiatement à ce contrat, qu'il pourra prendre les mesures nécessaires pour mettre fin à cette rupture et pour vous forcer à vous conformer à ces provisions. De plus, vous reconnaissez à Graphisoft le droit d'exiger un paiement pour les dommages encourus ainsi que pour ses autres droits sous la loi applicable qui résultent de la rupture de ce contrat par vous.

5.2. PROVISIONS SPECIALES CONCERNANT LES MODES COMMERCIAL, ESSAI, DEMO ET EDUCATION DU LOGICIEL :

A : Mode commercial

* A moins de rendre votre exemplaire du logiciel entièrement inutilisable, vous ne pouvez pas prêter, louer, distribuer, céder, sous-licencier ou transférer d'aucune manière le droit d'utiliser du logiciel, ni transférer ou permettre l'accès à son réseau pour utilisation commerciale même de manière partielle. Vous acceptez par la préseente qu'en cas du transfert de n'importe quelle manière du logiciel par vous, cet accord est automatiquement résilié à partir du moment du transfert et que vous perdez tout droit lié à ce contrat.

* En cas d'une licence revendue, vous, c'est-à-dire l'acheteur du logiciel revendu, devrez obligatoirement réenregistrer le logiciel auprès du partenaire officiel local de Graphisoft, payer les frais applicables et conclure un contrat de support du logiciel pour avoir le droit à toute mise à jour ; support, etc.

B : Mode d'évaluation

* Toute installation ou utilisation de ce Logiciel dans un but différent de ceux stipulés dans ce Contrat, en particulier l'utilisation commerciale, est formellement interdite et constitue une action criminelle.

* Vous n'êtes pas autorisé à transférer le Logiciel à un autre ordinateur ou à une autre personne. Il vous est formellement interdit de distribuer, de vendre ou de permettre l'accès au Logiciel que ce soit seul ou faisant partie d'un autre produit ou service. Toute tentative de le faire sera vouée à l'échec et peut arrêter l'utilisation du Logiciel.

* Vous n'êtes pas autorisé à utiliser le Logiciel après l'écoulement de la période d'évaluation. Pour continuer à utiliser le Logiciel passé ce délai, vous devez acheter le logiciel pour pouvoir l'utiliser en mode commercial

C : Mode d'éducation

* Vous n'êtes pas autorisé à transférer le Logiciel à un autre ordinateur ou à une autre personne. Toute tentative de le faire sera vouée à l'échec et peut arrêter l'utilisation du Logiciel.

* Vous n'êtes pas autorisé à utiliser le logiciel au-delà de l'expiration de la période permise par le numéro de série qui peut s'étendre au maximum à la durée de votre inscription dans une institution d'enseignement ou de votre emploi par une telle institution.

D : Mode de démonstration

* Vous n'êtes pas autorisé à transférer le Logiciel à un autre ordinateur ou à une autre personne.

* Il vous est formellement interdit de distribuer, de vendre ou de permettre l'accès au Logiciel que ce soit seul ou faisant partie d'un autre produit ou service. Toute tentative de le faire sera vouée à l'échec et peut arrêter l'utilisation du Logiciel.

* Vous n'êtes pas autorisé à utiliser le Logiciel pour une fin commerciale ou de production.

5.3. PROVISIONS SPECIALES APPLICABLES AUX EXTENSIONS DU LOGICIEL :

A : Mode commercial

B : Mode d'évaluation

* Vous n'êtes pas autorisé à utiliser le Logiciel pour une fin commerciale ou de production.

C : Mode d'éducation

* Vous n'êtes pas autorisé à utiliser le Logiciel pour une fin commerciale ou de production.

D : Mode de démonstration

* Vous n'êtes pas autorisé à transférer le Logiciel à un autre ordinateur ou à une autre personne.

* Vous n'êtes pas autorisé à utiliser le Logiciel pour une fin commerciale ou de production.

5.4. PROVISIONS SPECIALES CONCERNANT LES GOODIES DU LOGICIEL :

6. AUDIT

Vous acceptez que, en plus de toute autre vérification de licence décrite dans le présent accord ou dans un autre accord, Graphisoft a le droit de visiter vos locaux dans lesquels vous utilisez le Logiciel avec un préavis écrit de 7 (sept) jours afin de vérifier vos registres, systèmes et locaux pour s'assurer que votre utilisation du Logiciel s'accorde pleinement avec les provisions de ce contrat et de la législation applicable. Graphisoft peut également nommer un tiers pour exercer ses droits d'audit. Vous acceptez, par la présente, de coopérer entièrement avec Graphisoft dans le but de mener à bien cette vérification, entre autres, en mettant à la disposition de Graphisoft toutes les informations et documents demandés.

7. LA FIN DU CONTRAT

7.1. PROVISIONS GENERALES - APPLICABLES AUX MODES COMMERCIAL, ESSAI, DEMO ET EDUCATION DU LOGICIEL, AUX EXTENSIONS DU LOGICIEL ET AUX GOODIES AJOUTES AU LOGICIEL :

* En cas de rupture d'une partie quelconque de ce Contrat, Graphisoft est en droit de mettre fin immédiatement au Contrat sans préavis. Toute infraction ou tentative d'infraction d'une clause quelconque des PARAMETRES DE LA LICENCE ou des RESTRICTIONS déterminées plus haut constitue une rupture matérielle du Contrat, permettant à Graphisoft de résilier immédiatement ce Contrat.

* En cas de résiliation par Graphisoft, vous êtes dans l'obligation d'indemniser Graphisoft pour les dommages subis et pour les dépenses encourues en connexion avec votre rupture du Contrat, et Graphisoft aura le droit de se faire valoir d'autres droits et demandes conformément aux lois en vigueur.

* En cas de résiliation pour une raison quelconque, en aucune circonstance quelle qu'elle soit, Graphisoft ni son distributeur ne pourront être tenus responsables de dommages ou intérêts.

7.2. PROVISIONS SPECIALES CONCERNANT LES MODES COMMERCIAL, ESSAI, DEMO ET EDUCATION DU LOGICIEL :

* Ce contrat de licence porte effet jusqu'à ce qu'il soit résilié.

A : Mode commercial

* Lorsque la durée déterminée par les conditions de votre achat du produit touche à sa fin, vous pouvez mettre fin à ce Contrat en détruisant le Logiciel et toutes ses copies ou vous pouvez continuez à utiliser le Logiciel en mode de démonstration.

* S'il y a fin du contrat, vous devez détruire le Logiciel et toutes ses copies puis renvoyer la CLEF ELECTRONIQUE au partenaire local de Graphisoft ou à l'endroit où qui vous avez acheté une copie du Logiciel, ou, si ce dernier n'est pas disponible ou qu'il n'accepte pas la CLEF ELECTRONIQUE rendue, vous devez la renvoyer directement à Graphisoft. Vous devez désinstaller la CLEF LOGICIEL avec l'application de programmation de licence.

B : Mode d'évaluation

* Lorsque la durée déterminée par le numéro de série reçu touche à sa fin, vous pouvez mettre fin à ce Contrat en détruisant le Logiciel et toutes ses copies ou vous pouvez continuez à utiliser le Logiciel en mode de démonstration.

C : Mode d'éducation

D : Mode de démonstration

* Vous pouvez mettre fin à ce Contrat en détruisant le Logiciel et toutes ses copies.

7.3. PROVISIONS SPECIALES APPLICABLES AUX EXTENSIONS DU LOGICIEL :

Ce contrat de licence porte effet jusqu'à ce qu'il soit résilié.

A : Mode commercial

* S'il y a fin du contrat, vous devez détruire le Logiciel et toutes ses copies.

B : Mode d'évaluation

* Lorsque le mode d'Essai de l'application hôte touche à sa fin, vous pouvez mettre fin à ce Contrat en détruisant le Logiciel et toutes ses copies ou vous pouvez continuez à utiliser le Logiciel en mode de démonstration.

C: Mode d'éducation

* Lorsque le mode Education de l'application hôte touche à sa fin, vous pouvez mettre fin à ce Contrat en détruisant le Logiciel et toutes ses copies ou vous pouvez continuez à utiliser le Logiciel en mode de démonstration.

D: Mode de démonstration

* Vous pouvez mettre fin à ce Contrat en détruisant le Logiciel et toutes ses copies.

7.4. PROVISIONS SPECIALES APPLICABLES AUX GOODIES DU LOGICIEL :

* Ce contrat de licence porte effet jusqu'à ce qu'il soit résilié.

* Vous pouvez mettre fin à ce Contrat en détruisant le Logiciel et toutes ses copies.

8. GARANTIE LIMITEE

8.1. PROVISIONS GENERALES - APPLICABLES AUX MODES COMMERCIAL, ESSAI, DEMO ET EDUCATION DU LOGICIEL, AUX EXTENSIONS DU LOGICIEL ET AUX GOODIES AJOUTES AU LOGICIEL :

* Aucun conseil ou information fournie par les employés, Partenaires, revendeurs, agents ou consultants de Graphisoft ne représente une garantie de la part de Graphisoft et n'étend aucunement la garantie de cet Accord. Ce contrat et la garantie qu’elle fournit ne peuvent être modifiés que par une modification écrite signée par un représentant autorisé de Graphisoft.

* En aucun cas Graphisoft ne pourra être tenu pour responsable de pertes ou de dommages, y compris - mais non limitée à - toute perte de données, dommages dus à un revenu non réalisé, l'interruption d'une affaire, la perte d'informations d'affaires ou toute autre perte ou dommage consécutif ou indirect dû à l'utilisation ou l'abus de ce Logiciel même si Graphisoft ou ses employés, revendeurs ou agents ont eu ou auraient pu avoir connaissance de tels dommages. En aucun cas la responsabilité de Graphisoft ne pourra excéder, en cas de rupture de contrat lié ou non à l'utilisation du logiciel, la somme que vous avez payée à Graphisoft pour cet exemplaire du logiciel, sauf si requis par une loi statutaire applicable.

* Vous acceptez et confirmez que le prix de ce Logiciel ou la fourniture gratuite de ce Logiciel ainsi que les conditions de ce contrat qui vous sont favorables ont été déterminées en tenant compte des dispositions ci-dessus concernant la garantie limitée.

8.2. PROVISIONS SPECIALES CONCERNANT LES MODES COMMERCIAL, ESSAI, DEMO ET EDUCATION DU LOGICIEL :

A : Mode commercial

* Graphisoft garantit que - si vous avez reçu une CLEF ELECTRONIQUE physique pour le logiciel - pendant une période de 1 an à partir de la date d'achat telle qu'elle est indiquée sur votre justificatif d'achat original auprès de Graphisoft ou d'un partenaire de Graphisoft, la CLEF ELECTRONIQUE est exempte de défauts.

* Graphisoft garantit - si le logiciel vous a été livré sur DVD _ pendant une période de 90 jours à partir de la date d'achat telle qu'elle est indiquée sur votre justificatif d'achat, que le(s) DVD(s) sur le(s)quel(s) le Logiciel est livré sera(ont) exempt(s) de défauts.

* Cette garantie limitée s'avère nulle si la défectuosité du (es) DVD(s) ou de la CLEF ELECTRONIQUE résulte d'un accident, d'un vol, d'une perte ou d'une utilisation erronée du Logiciel.

* La période de garantie limitée commence le jour de l'achat original auprès de Graphisoft ou d'un partenaire de Graphisoft (c'est-à-dire que la période de garantie ne recommence pas en cas de revente ou de mise à jour du Logiciel).

* Si pendant cette période de garantie, votre(s) DVD(s) ou CLEF ELECTRONIQUE s'avèrent défectueux, Graphisoft ou son distributeur endosseront leur responsabilité par l'un des moyens suivant choisi par leur seule discrétion :

remplacer les DVDs ou la CLEF ELECTRONIQUE défectueux gratuitement à la condition qu'ils soient renvoyés à Graphisoft ou son distributeur accompagnés d'un justificatif d'achat ou
rembourser le prix payé pour la licence de remplacement. Tout DVD ou CLEF ELECTRONIQUE de remplacement sera garanti pendant 90 jours à compter de la date de livraison du matériel de remplacement.

Vous avez droit au remboursement du prix payé pour le logiciel de remplacement uniquement auprès du revendeur auquel vous avez acheté le logiciel.

* Vous acceptez explicitement que, dans la mesure maximum de la loi applicable, Graphisoft décline toute garantie liée à la CLEF LOGICIEL. Si votre CLEF LOGICIEL est détruite ou endommagée pour une raison quelconque, vous devez acquérir une nouvelle CLEF LOGICIEL selon les conditions courantes.

* SAUF POUR LA GARANTIE LIMITEE CONCERNANT LE MATERIEL ET LA CLEF ELECTRONIQUE, CE LOGICIEL EST FOURNI "TEL QUEL", SANS GARANTIE, EXPRESSE OU IMPLICITE, CONCERNANT SA CONFORMITE OU SA FONCTIONNALITE A TOUTE FIN QUE CE SOIT, NI QUE LE LOGIGIEL EXEXUTERA LES TACHES SANS INTERRUPTIONS ET SANS ERREURS. DANS LA MESURE APPLICABLE DE LA LOI, GRAPHISOFT DECLINE TOUTE AUTRE GARANTIE, EXPRESSE ET IMPLICITE, Y COMPRIS LES GARANTIES DE COMMERCIALISATION, D'APTITUDE A SERVIR UN BUT CONCRET, DE QUALITE, D'INTEGRALITE, D'INFRACTION OU DE PRECISION DES FONCTIONS DU LOGICIEL.

B : Modes Démo, Education et Essai

* CE LOGICIEL EST FOURNI "TEL QUEL", SANS GARANTIE, EXPRESSE OU IMPLICITE, CONCERNANT SA CONFORMITE OU SA FONCTIONNALITE A TOUTE FIN QUE CE SOIT, NI QUE LE LOGIGIEL EXEXUTERA LES TACHES SANS INTERRUPTIONS ET SANS ERREURS. GRAPHISOFT DECLINE TOUTE AUTRE GARANTIE, EXPRESSE ET IMPLICITE, Y COMPRIS LES GARANTIES DE COMMERCIALISATION, D'APTITUDE A SERVIR UN BUT CONCRET, DE QUALITE, D'INTEGRALITE, D'INFRACTION OU DE PRECISION DES FONCTIONS DU LOGICIEL.

8.3. PROVISIONS SPECIALES APPLICABLES AUX EXTENSIONS DU LOGICIEL :

A : Mode commercial

* Cette garantie limitée s'avère nulle si la défectuosité du (es) DVD(s) résulte d'un accident, d'un vol, d'une perte ou d'une utilisation erronée du Logiciel.

* La période de garantie limitée commence le jour de l'achat/obtention original(e) auprès de Graphisoft ou d'un partenaire de Graphisoft (c'est-à-dire que la période de garantie ne recommence pas en cas de revente ou de mise à jour du Logiciel).

* Si pendant cette période de garantie, votre(s) DVD(s) s'avère défectueux, Graphisoft ou son distributeur endosseront leur responsabilité par l'un des moyens suivant choisi par leur seule discrétion :

réparer ou remplacer le(s) DVD(s) défectueux gratuitement à la condition qu'il(s) soi(en)t renvoyé(s) à Graphisoft ou son distributeur accompagné(s) d'un justificatif d'achat ou
rembourser le prix payé pour la licence de remplacement (si applicable). Tout DVD de remplacement sera garanti pendant 90 jours à compter de la date de livraison du matériel de remplacement.

Vous avez droit au remboursement du prix payé pour le logiciel de remplacement uniquement auprès du revendeur auquel vous avez acheté le logiciel.

* SAUF POUR LA GARANTIE LIMITEE CONCERNANT LE MATERIEL, CE LOGICIEL EST FOURNI "TEL QUEL", SANS GARANTIE, EXPRESSE OU IMPLICITE, CONCERNANT SA CONFORMITE OU SA FONCTIONNALITE A TOUTE FIN QUE CE SOIT, NI QUE LE LOGIGIEL EXEXUTERA LES TACHES SANS INTERRUPTIONS ET SANS ERREURS. DANS LA MESURE APPLICABLE DE LA LOI, GRAPHISOFT DECLINE TOUTE AUTRE GARANTIE, EXPRESSE ET IMPLICITE, Y COMPRIS LES GARANTIES DE COMMERCIALISATION, D'APTITUDE A SERVIR UN BUT CONCRET, DE QUALITE, D'INTEGRALITE, D'INFRACTION OU DE PRECISION DES FONCTIONS DU LOGICIEL.

B : Modes Démo, Education et Essai

* CE LOGICIEL EST FOURNI "TEL QUEL", SANS GARANTIE, EXPRESSE OU IMPLICITE, CONCERNANT SA CONFORMITE OU SA FONCTIONNALITE A TOUTE FIN QUE CE SOIT, NI QUE LE LOGICIEL EXECUTERA LES TACHES SANS INTERRUPTIONS ET SANS ERREURS. GRAPHISOFT N'ASSUME AUCUNE GARANTIE EXPLICITE OU IMPLICITE, Y COMPRIS LA GARANTIE CONCERNANT LA QUALITE MARCHANDE, L'APTITUDE A UNE UTILISATION PARTICULIERE, LA QUALITE, L'INTEGRALITE, LA VIOLATION DE DROITS D'AUTRUI, LA PRECISION DES FONCTIONS DU LOGICIEL OU LA COOPERATION DU LOGICIEL AVEC TOUT AUTRE LOGICIEL OU EQUIPEMENT INFORMATIQUE.

8.4. PROVISIONS SPECIALES APPLICABLES AUX GOODIES DU LOGICIEL :

* DANS LA MESURE MAXIMUM PERMISE PAR LES LOIS APPLICABLES, TENANT COMPTE DU FAIT QUE LA LICENCE VOUS EST FOURNIE GRATUITEMENT, LE LOGICIEL EST FOURNI "TEL QUEL", SANS AUCUNE GARANTIE EXPLICITE OU IMPLICITE CONCERNANT SA CONFORMITE OU A SON APTITUDE A QUELQUE FIN QUE CE SOIT, NI CONCERNANT SON FONCTIONNEMENT ININTERROMPU OU SANS ERREURS. GRAPHISOFT N'ASSUME AUCUNE GARANTIE EXPLICITE OU IMPLICITE, Y COMPRIS LA GARANTIE CONCERNANT LA QUALITE MARCHANDE, L'APTITUDE A UNE UTILISATION PARTICULIERE, LA QUALITE, L'INTEGRALITE, LA VIOLATION DE DROITS D'AUTRUI, LA PRECISION DES FONCTIONS DU LOGICIEL OU LA COOPERATION DU LOGICIEL AVEC TOUT AUTRE LOGICIEL OU EQUIPEMENT INFORMATIQUE.

9. PROPRIETE DU CONTENU CHARGE, DES MATERIELS DE PARTIE TIERCE ET DES SERVICES

9.1. PROVISIONS GENERALES - APPLICABLES AUX MODES COMMERCIAL, ESSAI, DEMO ET EDUCATION DU LOGICIEL, AUX EXTENSIONS DU LOGICIEL ET AUX GOODIES AJOUTES AU LOGICIEL :

* Tous les droits de titre et de propriété des informations et autres contenus (par ex. extensions commerciales ou de partie tierce) chargés dans le logiciel à partir de média électronique ou de l'internet par l'opération du logiciel (collectivement : "Contenu") este la propriété du propriétaire du Contenu donné, y compris mais non limité au Fournisseur, à ses partenaires ou à tout autre fournisseur de contenu sur internet ("Fournisseurs de contenu"). Cette licence ne vous donne aucun droit de propriété sur un tel Contenu.

* Vous acceptez que l'utilisation de certains produits et services de Graphisoft ou de parties tierces inclus ou accessibles à partir du Logiciel peut être sujette à d'autres termes et conditions que vous trouverez normalement dans un contrat de licence séparé à https://www.graphisoft.com/licenses , et que vous acceptez également en acceptant les dispositions de cet Accord.

* Vous acceptez que l'utilisation de certains matériels, logiciels et de services de Graphisoft et des parties tierces accessibles et utilisés à l'aide du Logiciel peut être sujette à d'autres termes et conditions que vous trouverez dans des contrats de licence séparés n'apparaissant pas sur le lien indiqué ci-dessus et pour lesquels Graphisoft n'assume aucune responsabilité. De même, Graphisoft n'assume aucune responsabilité pour la coopération du Logiciel avec des matériels, logiciels et services de parties tierces, ni pour l'opération et l'utilisation de matériels, logiciels et services de parties tierces.

9.2. PROVISIONS SPECIALES CONCERNANT LES MODES COMMERCIAL, ESSAI, DEMO ET EDUCATION DU LOGICIEL :

* Vous acceptez que votre utilisation du Contenu téléchargé depuis le portail web "Composants BIM" disponible sur https://BIMcomponents.com , que ce soit dans un logiciel de navigation internet ou directement à partir du Logiciel - est sujette aux termes du portail web "Composants BIM" et à des contrats de licence supplémentaires situés à https://www.graphisoft.com/licenses , que vous acceptez également en acceptant les termes de ce Contrat. Graphisoft ne prend aucune responsabilité concernant la coopération du logiciel avec le portail BIM Components.

10. PROVISIONS SPECIALES CONCERNANT LE MODE COMMERCIAL DU LOGIGIEL ET DES EXTENSIONS DU LOGICIEL DANS LE CAS D'UNE LICENCE PAR ABONNEMENT

* Si vous avez signé un contrat de licence en abonnement ("Abonnement"), les conditions spécifiques de cette licence sont définies dans l'Annexe d'abonnement à licence (AAL) ou dans les Termes du service de cet accord. L'AAL ou les Termes du service sont une partie inséparable de cet accord et vous seront fournis directement par le prestataire du service.

* En acceptant les conditions de cet accord, vous acceptez également les conditions de l'AAL/des Termes du service.

* Vous acceptez de manière explicite que le fournisseur du service peut à tout moment transférer l'accord de service à Graphisoft ou à un de ces partenaires directs. Dans un tel cas de figure, Graphisoft s'engage à vous fournir les services décrits dans le contrat de service.

* Pour les besoins de l'Abonnement, les expressions suivantes sont identifiées comme suit :

Par "Abonnement" on entend le plan d'abonnement à la licence liée au logiciel que Graphisoft vous propose en licence selon les conditions de cet accord et de l'AAL/des Termes du service. Le contenu de l'Abonnement est décrit ici et dans l'AAL, ainsi que dans l'accord de service d'abonnement conclu par vous et votre fournisseur de service.

Par "Fournisseur de service" on entend le distributeur ou revendeur autorisé par Graphisoft qui conclut un accord de service lié à la prestation de votre abonnement.

Par "Accord de service en abonnement" on entend l'accord qui contient les conditions de l'Abonnement qui vous est assuré pour votre Fournisseur de service.

11. PROVISIONS SPECIALES CONCERNANT LE MODE COMMERCIAL DU LOGICIEL DANS LE CAS D'UN ACCORD DE PRESTATIONS DE SERVICES DU LOGICIEL

* Si vous avez conclu un Contrat de service de logiciel ("SSA") ou un Accord Graphisoft Forward ("Forward") concernant ce Logiciel avec l'un de nos distributeur locaux ("Fournisseur de service SSA/Forward") , vous acceptez expressément que, en cas de résiliation ou d'expiration de l'accord de distribution entre Graphisoft et ce distributeur local, le SSA/Forward sera transféré par le distributeur local à Graphisoft ou à une partie tierce désignée par Graphisoft. Les détails de ce transfert vous seront communiqués par Graphisoft et par le Partenaire local. Vous acceptez également expressément que, quelles que soient les conditions de SSA/Forward, Graphisoft ou la partie tierce désignée par Graphisoft est en droit de modifier unilatéralement l'étendue des prestations fournies dans le cadre de l’accord SSA/Forward ou les termes matériels exprimés dans celui-ci.

* Vous acceptez que votre Fournisseur de service SSA/Forward fournisse à Graphisoft l'état de votre SSA/Forward et déclarez que vous avez été entièrement informé de votre éligibilité aux extensions disponibles exclusivement aux utilisateurs finaux en possession d'un CSL valable ("Extensions SSA/Forward"). Vous acceptez que vos droits et obligations liées aux Extensions SSA/Forward peuvent être régis par des conditions d'utilisation séparées auxquelles il est de votre responsabilité d'adhérer. Veuillez contacter votre Fournisseur de service SSA/Forward pour toutes autres conditions appropriées.

Remarque : L'Accord de service de logiciel peut être connu sous un nom différent dans votre pays.

12. COMMERCE & SANCTIONS

* Vous et Graphisoft vous conformerez à toutes les lois, règles, embargos et mesures restrictives de sanction économique, commerciale et financière (“Sanctions”) et à toutes les lois et règles contrôlant les exportations et importations (“Contrôles commerciaux”) décrétées ou imposées par les gouvernements de Hongrie, de l'Union européenne et de tout autre pays concerné;

* Vous déclarez et convenez de manière continue - si vous représentez une entité légale - que ni vous, ni vos filiales ou partenaires sur lesquels vous exercez un contrôle direct ou indirect, ni vos dirigeants ou employés, ni vos utilisateurs autorisés n’apparaissez sur aucune liste soumise à des Sanctions ou Contrôles commerciaux applicables;

* Graphisoft déclare de manière continue que ni lui, ni ses filiales, affiliés, employés ou parties qu'il possède ou contrôle directement ou indirectement ne se trouvent sur aucune liste de restriction de Sanctions ou de Contrôles commerciaux applicables;

* Le logiciel de Graphisoft est rendu disponible sous condition que la licence ne sera ni sous-licencée, ni transférée, cédée, exportée, fournie ou utilisée pour vous (i) pour aucune finalité ou activité interdite ou restreinte par des Sanctions et/ou Contrôles commerciaux (ii) et à aucun pays ou territoire assujetti à des Sanctions territoriales y compris, mais sans s'y limiter, à la date de cet Accord, la Corée du Nord, l'Iran, la Syrie, le Soudan et Cuba. Seul l’Utilisateur est responsable pour la conformité de tout contenu avec les Sanctions et/ou Contrôles commerciaux applicables.

* Chacune des Parties déclare qu'elle informera immédiatement l'autre Partie par écrit si elle prend connaissance d'une violation quelconque de cette section 12;

* Nonobstant toute disposition contraire, les deux Parties possèdent le droit de (i) résilier immédiatement cet Accord en cas de violation de n'importe quelle disposition de cette section 12. (ii) et de demander l'indemnisation par la Partie qui a violé les dispositions appropriées pour toute perte subie.

13. CONDITIONS GENERALES ET FINALES

13.1. PROVISIONS GENERALES - APPLICABLES AUX MODES COMMERCIAL, ESSAI, DEMO ET EDUCATION DU LOGICIEL, AUX EXTENSIONS DU LOGICIEL ET AUX GOODIES AJOUTES AU LOGICIEL :

* Cette licence NE VOUS DONNE PAS le droit à un quelconque support technique pour ce Logiciel ou aux mises à jour que Graphisoft peut offrir de temps en temps. Graphisoft peut, s'il le décide, et comme faisant partie de sa politique de ventes, mettre ce support technique et ces mises à jour à disposition des utilisateurs enregistrés du Logiciel selon des termes que Graphisoft ou ses Partenaires.déterminera de temps en temps.

* Vous acceptez que Graphisoft est en droit de modifier unilatéralement n'importe quelle condition de ce contrat avec ou sans préavis. Vous acceptez que Graphisoft n'assume aucune responsabilité pour les effets négatifs découlant d'une telle modification. Pour la version la plus récente du CLUF, veuillez consulter la page web http://www.graphisoft.com/legal .

* Ce Contrat constitue l'accord entier conclu entre vous et Graphisoft concernant le Logiciel et remplace tout accord ou contrat antérieur écrit ou oral. A moins que Graphisoft ne vous en informe autrement par écrit, les conditions de ce contrat seront appliquées à l'installation et à l'utilisation des fonctions additionnelles du logiciel et à la réparation de l'installation du logiciel.

* Si toute partie ou provision de ce contrat est jugé contraire à la loi par une juridiction compétente, cette partie ou provision restera en vigueur dans la mesure maximale possible et le reste de la licence restera complètement en effet.

* La version de langue anglaise de ce Contrat est la version qui fait foi en quant d'interprétation du Contrat. Toute traduction du Contrat est fournie uniquement pour des fins d'information sans force légale, et Graphisoft ne peut être en aucun cas tenu pour responable pour un dommage direct ou indirect lié à une traduction incorrecte ou incomplète.

* Ce contrat est régi par le droit de Hongrie. Tout litige né de l'utilisation de cette licence, y compris des litiges liés à la validité, l'interprétation ou la fin de cette licence sera résolu de manière finale et exclusive par le collège d'arbitrage permanent de la Chambre du commerce et de l'industrie hongroise à Budapest, selon ses propres règles de procédure. L'arbitrage aura lieu à Budapest.

13.2. PROVISIONS SPECIALES CONCERNANT LE MODE COMMERCIAL DU LOGICIEL

* A moins que ce ne soit autrement stipulé, les conditions de cet Accord s’appliquent également aux fonctionnalités supplémentaires du Logiciel et aux services et contenus fournis en connexion à ce Logiciel (par exemple un contrat SSA/Forward).

* Vous acceptez que le Logiciel peut contenir de composants limités dans le temps ou dans leur fonctionnalisé qui ne peuvent être utilisés entièrement qu'en cas d'achat des licences appropriées.

GRAPHISOFT SOFTWARE LICENSE AGREEMENT

1. LICENSE

1.1. GENERAL PROVISIONS - APPLICABLE TO COMMERCIAL MODE, TRIAL MODE, DEMO MODE AND EDUCATIONAL MODE OF THE SOFTWARE, TO THE ADD-ONS TO THE SOFTWARE AND TO THE GOODIES TO THE SOFTWARE:

Graphisoft SE Private European Company Limited by Shares, Záhony utca 7. Budapest H-1031 Hungary https://www.graphisoft.com ("Graphisoft") licenses this Software to You, an individual or as the representative of and on behalf of Your employer (collectively referred to as "You") only upon the condition that You accept all of the terms contained in this Software License Agreement ("Agreement").

By accepting the terms of this Software License Agreement, You expressly declare and confirm that You have the full power and capacity to represent Yourself, Your employer and/or the entity on behalf of which You are acting (if any). Should this declaration prove to be false, You shall be responsible and liable in person for all obligations under the Agreement.

This Agreement constitutes a non-exclusive, non-transferable, non-sublicensable, limited license for You to use the enclosed Software and associated documentation, together with the upgrades, updates, new versions and fixes provided to You by Graphisoft (together referred to as the "Software"). The Software is licensed, not sold, to You exclusively for Your own use under the terms and conditions of this Agreement.

The Software is owned by Graphisoft and protected by all applicable copyright laws. To the maximum extent permitted by applicable laws, Graphisoft reserves all rights to the Software not expressly granted hereunder and to any reproduction of the Software including its documentation, logos, trademarks, icons and interface in whole or in part. If You copy or use all or any portion of the Software without entering into this Agreement or obtaining the prior written permission of Graphisoft or in non-compliance with any of the terms of this Agreement, You are violating copyright or other intellectual property law, and You may be liable to Graphisoft and its licensors in particular for damages, and You may be subject to criminal penalties.

In order to use Your copy to the software (irrespectively whether you have SOFTWARE or HARDWARE KEY), You acknowledge that You need to have a valid Graphisoft ID and authenticate Your software copy regularly as required by Graphisoft during the term of this Agreement, to be obtained from Graphisoft at https://graphisoftid.graphisoft.com .

Graphisoft may offer the opportunity to download and try updates which are in 'preview' (non-finalized) status, but this is on Your own discretion and - to the maximum extent permitted by the applicable rules of law - Graphisoft does not take any liability for the damage the update may cause.

SPECIAL PROVISIONS APPLICABLE TO COMMERCIAL MODE, TRIAL MODE, EDUCATIONAL MODE AND DEMO MODE OF THE SOFTWARE:

YOU MAY USE YOUR COPY OF THE SOFTWARE EITHER IN COMMERCIAL MODE, IN TRIAL MODE, IN EDUCATIONAL MODE OR IN DEMO MODE.

YOU ARE ENTITLED TO USE THE COMMERCIAL MODE ONLY IF YOU HAVE PURCHASED AND CONNECTED THE HARDWARE-BASED PROTECTION KEY (HARDWARE KEY) OR INSTALLED THE SOFTWARE-BASED PROTECTION KEY (SOFTWARE KEY) TO YOUR COMPUTER. THE SOFTWARE MAY BE USED IN TRIAL MODE FOR A LIMITED PERIOD OF TIME IF YOU HAVE A TRIAL SERIAL NUMBER.

YOU MAY USE THE EDUCATIONAL MODE EXCLUSIVELY FOR THE PURPOSE OF INSTRUCTION OR FOR PERSONAL LEARNING, AND ONLY IF AND AFTER YOU HAVE RECEIVED A PROPER EDUCATIONAL SERIAL NUMBER FROM GRAPHISOFT OR ITS PARTNERS.

IF YOU LACK ALL THE PROPER AUTHORIZATIONS (FOR EXAMPLE HARDWARE KEY, SOFTWARE KEY OR APPROPRIATE SERIAL NUMBER) FOR THE USAGE OF THE SOFTWARE, YOU MAY USE THE SOFTWARE ONLY IN DEMO MODE.

1.2. SPECIAL PROVISIONS RELEVANT TO ADD-ONS TO THE SOFTWARE:

YOU MAY USE THE ADD-ONS TO THE SOFTWARE EXCLUSIVELY IN CONJUNCTION WITH A HOST APPLICATION (E.G. Archicad, ETC.). DEPENDING ON THE HOST APPLICATION'S CURRENT MODE OF USAGE, YOU MAY USE YOUR COPY OF THE SOFTWARE IN COMMERCIAL MODE, IN TRIAL MODE, IN EDUCATIONAL MODE OR IN DEMO MODE. YOU ARE ENTITLED TO USE THE COMMERCIAL MODE ONLY IF YOU HAVE PURCHASED AND APPLIED THE RESPECTIVE SOFTWARE LICENSE TO YOUR HARDWARE-BASED PROTECTION KEY (HARDWARE KEY) OR TO YOUR SOFTWARE-BASED PROTECTION KEY (SOFTWARE KEY).

1.3. SPECIAL PROVISIONS RELEVANT TO GOODIES TO THE SOFTWARE:

YOU MAY USE THE GOODIES TO THE SOFTWARE EXCLUSIVELY IN CONJUNCTION WITH A HOST APPLICATION (E.G. Archicad, ETC.).

2. INTERNET-BASED AND NON-INTERNET BASED SERVICE COMPONENTS

2.1. GENERAL PROVISIONS - APPLICABLE TO COMMERCIAL MODE, TRIAL MODE, DEMO MODE AND EDUCATIONAL MODE OF THE SOFTWARE, TO THE ADD-ONS TO THE SOFTWARE AND TO THE GOODIES TO THE SOFTWARE:

* The Software may contain components that enable and facilitate the use of certain Internet-based and non-Internet based services. You acknowledge and agree that Graphisoft may automatically check the operation mode, version of the Software and/or its components, its HARDWARE KEY serial number (if any), the SOFTWARE KEY serial number (if any), Trial or Educational serial number (if any) and the related services that You are utilizing in order to check that You are utilizing the Software according to its purpose, and may provide upgrades, fixes or additional services to the Software in order to advance lawful and improved operation thereof at Graphisoft's sole discretion. Graphisoft shall not be liable for any loss of data or malfunctioning of the Software occurring in connection with Graphisoft's conduct under this paragraph.

* You acknowledge that the use of Blacklisted SOFTWARE or HARDWARE Keys and of Grey-listed SOFTWARE Keys and the use of the license(s) running on them are prohibited. Graphisoft has the right to revoke/invalidate the license running on the Blacklisted SOFTWARE or HARDWARE Key and on the Grey-listed SOFTWARE Key. Graphisoft is also entitled to delete all contents from the Blacklisted SOFTWARE or HARDWARE Key and Grey-listed SOFTWARE Key. Your right to use the license that has run on Blacklisted SOFTWARE or HARDWARE Key or on Grey-listed SOFTWARE key automatically terminates when the key is registered as Blacklisted or Grey-listed by Graphisoft. Graphisoft notifies You without undue delay on the deletion of the license from the key.

Blacklisted SOFTWARE or HARDWARE Key means a protection key that is prohibited to be used for any purposes. Graphisoft registers protection keys with blacklisted status in Graphisoft's systems based on a notification made to Graphisoft as refunded, stolen, destroyed, damaged or lost. If Your are a blacklisted key owner and would like more information, please contact your Graphisoft Partner or third party from whom you purchased Your license and protection key.

Grey-listed SOFTWARE Key means a protection key, where the license running on it is activated on Your computer but in Graphisoft's system the license is still listed as available for activation due to system communication issues occurring at the license activation process.

* The Software may contain technological measures that are designed to prevent and detect unlicensed use of the Software. Utilizing the Software, You will also install these technical protection measures (hereinafter the "TPM") used by Graphisoft or its foreigner suppliers to collect, transmit and use for law enforcement purposes technical data from Your computer (hereinafter the "Technical Data") in order to prevent and detect unlicensed use of the Software and enforce Graphisoft's intellectual property rights.

* You hereby expressly accept that Graphisoft or its assignee will use TPM to confirm that You have a legally licensed copy of the Software and that You use the Software according to the terms and conditions of this Agreement.

If Graphisoft finds that You are not using a licensed copy of the Software, or that Your use of the Software infringes the terms and conditions of this Agreement, this qualifies as material breach of this Agreement that gives Graphisoft the right to terminate this Agreement with immediate effect without notice and You shall be obliged to compensate Graphisoft for its damages and expenses occurring in connection with the unlawful usage and the breach of this Agreement, and Graphisoft shall be entitled to enforce other rights and claims under the governing laws in force, furthermore You will not be allowed to install future updates of the Software.

2.2. SPECIAL PROVISIONS RELEVANT TO COMMERCIAL MODE OF THE SOFTWARE:

* You acknowledge that - in case of Commercial Mode to the Software Graphisoft shall from time to time, for different reasons (e.g. reported to be stolen, destroyed or replaced), check whether the Hardware or Software key running Your copy of the Software is valid for commercial usage.

2.3. SPECIAL PROVISIONS RELEVANT TO ADD-ONS TO THE SOFTWARE:

* You acknowledge that Graphisoft shall from time to time, for different reasons (e.g. reported to be stolen, destroyed or replaced), check whether the Hardware or Software key running Your copy of the Software is valid for commercial usage.

3. INFORMATION AND CONSENT TO USE OF PERSONAL DATA

* Pursuant to the applicable law in force concerning the protection of personal data, by entering into this Agreement You accept that Your personal data (including those Technical Data collected and used by the TPM system) will be collected and processed by Graphisoft for the purposes related to the execution of this Agreement, including the fulfillment of Your obligations, such as those related to Graphisoft's intellectual property rights.

* In line with the above in particular the following data processing take place under the respective terms and conditions:

A. Crash report

Purpose of the crash report is to support the identification and improvement of the software defects. Crash report is sent by the Software to Graphisoft whenever the Software identifies malicious operation or fatal error causing the Software complete breakdown.
If You provide consent to Graphisoft then the crash report includes personal data indicated in paragraph five below for the purpose of potential technical support that might be provided by Graphisoft to You as end user of the Software, otherwise the crash report is pseudonymous. Pseudonymous means that it is not possible to identify You, unless You provide identification data (such as hardware ID and user ID) to Graphisoft with which Graphisoft can identify You.
By giving Your consent, the generated crash reports are sent continuously for 30 days in a row to Graphisoft including Your personal data indicated in paragraph five below. Consent can be revoked anytime by You during the 30 days period.
Revoking consent stops including personal data and crash report becomes pseudonymous again, but it does not mean that previously sent personal data is deleted. For deletion of such processed personal data, You have to contact support@graphisoft.com requesting the deletion.
Personal data processed: the Software collects and sends to Graphisoft certain data of the hardware running the license (such as hardware component information, protection key type and identifier), the list of Archicad components and their versions, applications ran at the time of and technical data related to the crash of the Software (for example the operational action when the defect occurred, content of the memory, running system processes, system variables, system component versions, system time, computer name, login name of the user),any personal and contact information You voluntarily shares when sending the crash report.
Legal base of the data processing: if You are a natural person the consent under point a. of Article 6(1) GDPR; if You are an entity the legitimate interest of Graphisoft under point f. of Article 6(1) GDPR.
Duration of the data processing: as long as Graphisoft provides technical support for the respective version of Archicad, but maximum for 5 years period of time from the data collection date.

B. Customer Experience Improvement Program ("CEIP")

The Software collects data on the time, frequency of use of each Archicad Software function; hardware, software and product information and sends it to Graphisoft.
The report is pseudonymous, meaning that it is not possible to identify You, unless You provide identification data (such as hardware ID, User ID and Project ID) to Graphisoft with which Graphisoft can identify You.
Purpose of the data processing: collect feedback on how You use the software, its functionalities, new features, malfunctions in order to improve the software and create solutions to common problems.
Once You enabled its operation, CEIP runs automatically in the background. You can stop its operation anytime by disabling the function.
Legal base of the data processing: if You are a natural person the consent under point a. of Article 6(1) GDPR; if You are an entity the legitimate interest of Graphisoft under point f. of Article 6(1) GDPR.
Duration of the data processing: as long as Graphisoft provides technical support for the respective version of Archicad, but maximum for 5 years period of time from the data collection date.

C. SSA/Forward validity checking if You are a natural person

The software collects and sends to Graphisoft certain data of the Software (such as the version and language of the Software), the protection key type and identifier.
Purpose of the data processing is to identify eligibility to SSA/Forward dependent content.
Legal base of the data processing: processing is necessary for the performance of a contract to which the data subject is party (point b. of Article 6(1) GDPR).
Duration of the data processing: 1 year from the end date of the SSA/Forward.

D. Software status checking if You are a natural person

The software collects and sends to Graphisoft certain data of the Software (such as the version, localization and operation mode of the Software), protection key type and identifier.
Purpose of the data processing: to identify available compatible Software updates to the Software, and to verify that the protection key is not Blacklisted or Grey-listed.
Legal base of the data processing: processing is necessary for the performance of a contract to which the data subject is party (point b. of Article 6(1) GDPR). If You are an entity, then no personal data is collected.
Duration of the data processing: the term of Your license.

E. BIMcloud

BIMcloud processes the following data: Graphisoft ID of person activating BIMcloud, operational system data (such as OS name, build, architecture, platform), BIMcloud Server ID generated at installation, time of activation, BIMcloud version, time of data collection, number of BIMcloud users, number of BIMcloud Projects, number of BIMcloud Libraries, number of LDAP connections, time of last server activity, number of licenses, hardware key's serial number, permission mode.
Purpose of data processing: improvement of the software and providing information on relevant functionalities and services.
Legal base of the data processing: if You are a natural person the consent under point a. of Article 6(1) GDPR; if You are an entity the legitimate interest of Graphisoft under point f. of Article 6(1) GDPR.
Duration of the data processing: Graphisoft deletes all data within 3 years following the end of the BIMcloud subscription.

F. BIMcloud SaaS

To use BIMcloud SaaS at least one Graphisoft ID has to be registered (registered administrator) with which additional users can be created (registered user).
The BIMcloud SaaS collects and stores the following data of the registered users of End User: username, first name, last name, email address, photograph. All Archicad project files uploaded by a registered user of the End User together with any and all personal and non-personal information available in the uploaded files will be shared with all other registered users of the End User. It is the End User who remains fully liable for all content and sharing and any authorizations granted to its registered users. Graphisoft is only the data processor and the End User is the data controller to all this data.
The virtual servers running BIMcloud SaaS are activated on Google Cloud and operated by Google. The domain name services are provided by Amazon. The physical servers are located within the European Union and also in the United States.
The collected information and the content uploaded by the End User, its registered administrator and all other registered users by the End user, when using the BIMcloud SaaS are stored at servers used by Graphisoft located within the European Union and in the United States and also in Google Cloud as described above. Graphisoft makes its best efforts to store the data linked to the End User at server(s) located in the country identified during the purchase of the license based on the partner code. The aim of the selection is to provide the service to You at the highest speed possible.
Legal base of the data processing: if You are a natural person the performance of the contract under point b. of Article 6(1) GDPR; if You are an entity the legitimate interest of Graphisoft under point f. of Article 6(1) GDPR.
When BIMcloud SaaS agreements expire, Graphisoft deletes all data from its servers within a month, while data stored on Google Cloud are deleted within 2 months after the expiration.

G. Archicad Support Package

Support Package is a tool that is necessary for the Graphisoft's Technical Support to efficiently investigate the issues You might experience when using Archicad, though any actual technical support is based on Your eligibility (such as for example Software Service Agreement - "SSA" or Graphisoft Forward - "Forward"). Support Package can be run by You manually, which packages contain technical and non-technical data from Your server where BIMcloud runs and/or client computer on which Archicad runs. Once the package is created You need to submit it to Graphisoft in a way as it was recommended by Graphisoft support representative.
The data collected might also include personal data as follows:
if You run the "logs from server" option, then it contains the server(s)' database, which may include all usernames, email addresses, project names, hardware IDs and IP/domain addresses, or even encrypted passwords applied by You.
if You run the "logs from client" option, then it might contain the same data categories as mentioned at "logs from server" but from the client side.
whichever option You select, the Support Package includes the project files which could also contain personal data available within (e.g. project name, customer name and address), whatever You have recorded there. As Graphisoft is unable to filter, limit or control the extent of these personal data, Graphisoft is not liable for accessing such data. Using the Package Content, Custom option you can exclude the Project content from the package to be created.
Legal base of the data processing: Graphisoft is the data processor according to Article 28 GDPR and Graphisoft does not use any personal data which may be made available for Graphisoft.
Duration of the data processing: as long as Graphisoft provides technical support for the respective version of Archicad, but maximum for 5 years period of time from the data collection date.

* You expressly acknowledge that Your personal data processed under this Agreement will be processed, either manually or with the help of electronic or automated means, in such a way as to minimize, by means of suitable security measures, the risk of unauthorized access or disclosure of Your data. Your personal data will be processed during the term of this Agreement in relation to its purposes, also in order to prevent unlicensed use of the Software. For the above purposes Your personal data can be disclosed to third parties (service providers, consultants, collaborators, a list of which is available from within the Privacy Policy), either to other EEA or third countries, pursuant to the scope of this Agreement and any applicable law. In the event of any data transfers to third countries, Graphisoft always uses suitable safeguards (such as the standard contractual clauses adopted by the European Commission, the EU-US Privacy Shield and similar instruments) to ensure the adequate protection of personal data. Graphisoft reserves the right to disclose Your personal data to the competent legal authority if required to do so to enforce or defend its rights or legitimate interests before civil and criminal courts, regulatory bodies, or to execute an order of the competent judicial or regulatory authority. As End User of the Product, You have the right to access the personal data processed by Graphisoft, to obtain the updating or rectification of such data. You also have the right to obtain the erasure of any personal data if, for instance, such data have either been processed unlawfully or are no longer necessary for the purposes for which they were collected or otherwise processed. In certain cases, such as when the processing is unlawful and you oppose the erasure of your data, you have the right to obtain from Graphisoft the restriction of processing. You also have the right to receive the personal data concerning you, which you provided to Graphisoft, in a structured, commonly used and machine-readable format and have the right to transmit those data to another controller. If you consider that the processing of your personal data by Graphisoft infringed the GDPR, please contact us first at privacy@graphisoft.com ; Graphisoft SE Business Compliance Manager; Záhony utca 7. Budapest, H-1031 Hungary so we can remedy the issue. Of course, in such cases you also have the right to lodge a complaint with the Hungarian Data Protection and Freedom of Information Authority ( http://naih.hu/general-information.html ) or another data protection supervisory authority, in particular in the Member State of your habitual residence, place of work or place of the alleged infringement.

* If applicable, You ensure and warrant to us that Your employee has been duly informed of the collection, processing, transfer and usage of his/her personal information by Graphisoft as per the above, and shall indemnify and hold Graphisoft harmless from and against any related third party claims.

* The detailed rules regarding the various rights and obligations related to Graphisoft's data collection, use, transfer, handling, processing, including your subject access rights and rights to legal redress, are set forth in the Privacy Policy constituting an inseparable part of this Agreement available at https://graphisoft.com/legal/privacy-policy .

4. LICENSE PARAMETERS

4.1. SPECIAL PROVISIONS RELEVANT TO COMMERCIAL MODE, TRIAL MODE, EDUCATIONAL MODE AND DEMO MODE OF THE SOFTWARE:

The license granted by this Agreement is subject to the License Parameters defined hereinafter:

A: Commercial Mode

* The Software consists of a computer program downloadable from a website or delivered on one or several DVDs, a HARDWARE KEY or authorization key necessary for the SOFTWARE KEY installation, and accompanying documentation and packaging.

* The Commercial Mode may be limited in time or unlimited as determined by the terms and conditions of your purchase of the Product.

* You may use the Software on a single computer at a time.

B: Trial Mode

* The Software consists of a computer program downloadable from a website or delivered on one or several DVDs.

* The Software is equipped with a time-control disabling function connected to a serial number. You are allowed to use the Software for thirty (30) days starting from the date on which You install the Software.

* You may use this Software only for non-commercial purposes. "Non-commercial purpose" means use of the Software solely for learning, education or research. "Non-commercial purpose" excludes, without limitation, any use of the Software for, as part of, or in any way in connection with a product (including software) or service which is sold, transferred, offered for sale, assigned, licensed, leased, loaned or rented.

* You may use the Software on a single computer at a time.

* To upgrade this copy to a commercial license, please contact the local Partner or Graphisoft.

C: Educational Mode

* The Software consists of a computer program downloadable from a website or delivered on one or several DVDs.

* The Software is equipped with a time-control disabling function connected to a serial number. You are allowed to use the Software for one month starting from the date on which You install the Software. Graphisoft at its own option may decide to send You a serial number, which allows You to use the Software for an additional one-year period of time ("License Period"). On the last day of the License Period the license expires and the use of the Software will be disabled automatically without any further notice.

* This is an educational mode of the Software sanctioned to be used only by students taking their degree studies, faculty members or staff of an educational institution. A degree-seeking student is defined as a student who is currently enrolled in a higher education institution, or a student who is taking (as a minimum), a three (3) credit-hour degree course, or a student who can confirm his/her enrolment at a nine (9)-month (minimum time period) certificate-granting college or university. This mode is only to be used for study and instruction - this is strictly NOT for commercial, professional, or for-profit purposes. By accepting the terms of this Software License Agreement, You expressly declare and confirm that You in person comply with the terms and conditions of this Agreement, which entitles You to conclude this Agreement with the advantageous terms and conditions provided by Graphisoft exclusively to students taking their degree studies, faculty members or staff of an educational institution. Should this declaration prove to be false, You shall be responsible and liable in person for all obligations under the Agreement.

* You own a non-exclusive, special license of the Software with limitations in its functions, to be used exclusively for educational purposes for the time allowed by the serial number - at maximum, for the period of Your enrolment or employment in the educational institution.

* You may use the Software on several computers for educational, academic, research purposes.

* To upgrade this copy to a commercial license, please contact the local Partner or Graphisoft.

D: Demo Mode

* You may use the Demo Mode if you lack a HARDWARE KEY or SOFTWARE KEY required for usage for Commercial Mode, or after the expiry of the serial number required for usage for Trial Mode or Educational Mode.

* In Demo Mode, You may explore the Software's features without being able to use its Copy, Save and Teamwork functions.

4.2. SPECIAL PROVISIONS RELEVANT TO ADD-ONS OF THE SOFTWARE:

A: Commercial Mode

* The Software consists of a computer program downloadable from a website or delivered on one or several DVDs, the respective software license for HARDWARE KEY or SOFTWARE KEY, and accompanying documentation and packaging.

* The Commercial Mode may be limited in time or unlimited as determined by the terms and conditions of your purchase of the Product.

* You may use the Software on a single computer at a time.

B: Trial Mode

* The Software consists of a computer program downloadable from a website or delivered on one or several DVDs.

* The Host Application in Trial Mode is equipped with a time-control disabling function. You are allowed to use the Software as long as the Host Application's Trial Mode remains in effect.

* You may use the Software on a single computer at a time.

* To upgrade this copy to a commercial license, please contact the local Partner or Graphisoft.

C: Educational Mode

* The Software consists of a computer program downloadable from a website or delivered on one or several DVDs.

* The Host Application in Educational Mode is equipped with a time-control disabling function. You are allowed to use the Software for as long as the Host Application's Educational Mode remains in effect.

* You may use the Software on several computers for educational, academic, research purposes.

* To upgrade this copy to a commercial license, please contact the local Partner or Graphisoft.

D: Demo Mode

* You may use the Demo Mode if you lack software license required for usage for Commercial Mode, or after the expiry of the serial number required for usage for Trial Mode or Educational Mode.

* In Demo Mode, You may explore the Software's features without being able to use its Copy, Save and Teamwork functions.

4.3. SPECIAL PROVISIONS RELEVANT TO GOODIES TO THE SOFTWARE:

* The Software consists of a computer program downloadable from a website.

* You may use the Software on a single computer at a time.

5. RESTRICTIONS

5.1. GENERAL PROVISIONS - APPLICABLE TO COMMERCIAL MODE, TRIAL MODE, DEMO MODE AND EDUCATIONAL MODE OF THE SOFTWARE, TO THE ADD-ONS TO THE SOFTWARE AND TO THE GOODIES TO THE SOFTWARE:

* You may not sell, loan, distribute, cede, sublicense, rent or lease or otherwise transfer or assign the right to use the Software, nor transfer or provide access to it by network for commercial use, either in whole or in part without the prior written consent of Graphisoft.

* You are expressly prohibited from decompiling, disassembling, reverse engineering, or reducing the Software for any purpose whatsoever.

* You may not unlock or otherwise attempt to discover the source code or underlying algorithms of the Software or attempt to do any of the foregoing in relation to the object code of the Software.

* You may not use the Software for development, compilation, debugging and similar design-time purposes.

* You are expressly prohibited from adapting, modifying, translating or creating any derivative works based in whole or in part on the Software, and from merging the Software into any other software.

* You may not copy any written materials accompanying the Software.

* You are expressly prohibited from dividing Your Software and reselling part(s) of it.

* You may use all elements of the Software as integral components thereof exclusively for the purposes of performing the Software's functionalities set forth by Graphisoft.

* Unless You have a separate Service Provider License Agreement in force, You are expressly prohibited from providing 'Software as a Service' (e.g.: 'Archicad as a Service') for third parties or other similar services which involve the reassignment of our software licenses to third parties e.g.: remarketing, reselling services or cloud services.

* You are prohibited from circumventing or supplying a system in order to circumvent the TPM of the Software and using the Software in any other unauthorized manner.

In case of infringement of any provisions of this chapter, you expressly acknowledge that it constitutes material breach of this Agreement giving the right to Graphisoft to immediately terminate this Agreement, and Graphisoft will take the necessary measures in order that the infringement be terminated and to enforce your compliance with the above provisions. In addition, Graphisoft shall be entitled to enforce payment for its damages as well as other rights and claims under the governing laws in force resulting from your breach of this Agreement.

5.2. SPECIAL PROVISIONS RELEVANT TO COMMERCIAL MODE, TRIAL MODE, EDUCATIONAL MODE AND DEMO MODE OF THE SOFTWARE:

A: Commercial Mode

* Unless You make your own copy of the Software totally unusable, You may not sell, loan, distribute, cede, sublicense, rent or lease or otherwise transfer or assign the right to use the Software, nor transfer or provide access to it by network for commercial use, either in whole or in part. You hereby accept that in case of any type of transfer of the Software by You, this Agreement automatically ceases to exist on the effective date of the transfer and You shall lose all rights arising from this Agreement.

* In case of a resold license, You, i.e. the purchaser of the resold Software, shall be required to re-register the Software with Graphisoft's appointed local partners, pay the applicable fees and enter into the applicable Software Support Agreement in order to be entitled to any updates, upgrades, support, etc.

B: Trial Mode

* Any installation or use of this Software for purposes different from the purposes set forth in this Agreement, in particular but not limited to commercial purposes, are expressly prohibited and shall be qualified as a criminal act.

* You may not transfer the Software to any other computer or person. You are expressly prohibited from distributing, providing access to or commercializing the Software or any of its components either alone or as part of another product or service. Any attempt to do so will be void and may also disable Your continued use of the Software.

* You may not use the Software after the trial period has expired. In order to continue to use the Software after the trial period, You must purchase the Software in order to be able to use it in Commercial Mode.

C: Educational Mode

* You may not transfer the Software to any other computer or person. Any attempt to do so will be void and may also disable Your continued use of the Software.

* You may not use the Software after the expiry of the time period allowed by the serial number - at maximum, for the period of Your enrolment or employment in the educational institution.

D: Demo Mode

* You may not transfer the Software to any other computer or person.

* You are expressly prohibited from distributing, providing access to or commercializing the Software or its any component either alone or as part of another product or service. Any attempt to do so will be void and may also disable Your continued use of the Software.

* You may not use the Software for commercial or production purposes.

5.3. SPECIAL PROVISIONS APPLICABLE TO THE ADD-ONS TO THE SOFTWARE:

A: Commercial Mode

B: Trial Mode

* You may not use the Software for commercial or production purposes.

C: Educational Mode

* You may not transfer the Software to any other computer or person. Any attempt to do so will be void and may also disable Your continued use of the Software.

* You may not use the Software for commercial or production purposes.

D: Demo Mode

* You may not transfer the Software to any other computer or person.

* You may not use the Software for commercial or production purposes.

5.4. SPECIAL PROVISIONS RELEVANT TO THE GOODIES TO THE SOFTWARE:

6. AUDIT

You hereby agree that - in addition to any other license compliance checking set forth in this Agreement or elsewhere - Graphisoft has the right to visit You at the premises where You use the Software upon 7 (seven) days prior written notice in order to check Your records, systems, facilities to verify that Your use of the Software is fully in line with the provisions of this Agreement and with the applicable rules of law. Graphisoft may also appoint a third party to exercise its audit rights. You hereby agree to fully cooperate with Graphisoft in order to successfully perform this verification among others by providing Graphisoft with all requested information and documents.

7. TERMINATION

7.1. GENERAL PROVISIONS - APPLICABLE TO COMMERCIAL MODE, TRIAL MODE, DEMO MODE AND EDUCATIONAL MODE OF THE SOFTWARE, TO THE ADD-ONS TO THE SOFTWARE AND TO THE GOODIES TO THE SOFTWARE:

* Graphisoft may terminate this Agreement with immediate effect without notice following breach of any part of the Agreement. The actual or attempted violation of any of the provisions of the LICENSE PARAMETERS or RESTRICTIONS, as set out above, shall be a material breach of this Agreement giving the right to Graphisoft to terminate this Agreement with immediate effect.

* Upon termination by Graphisoft You are obliged to compensate Graphisoft for its damages and expenses occurring in connection with the breach of this Agreement and Graphisoft shall be entitled to enforce other rights and claims under the governing laws in force.

* In case of termination for any reason, under no circumstances will Graphisoft be liable for reimbursing the price of the Software (if any) or for any other damages.

7.2. SPECIAL PROVISIONS RELEVANT TO COMMERCIAL MODE, TRIAL MODE, EDUCATIONAL MODE AND DEMO MODE OF THE SOFTWARE:

* This Agreement remains in effect until it is terminated.

A: Commercial Mode

* Upon the expiry of the time limit determined by the terms and conditions of your purchase of the Product, You may terminate this Agreement by destroying the Software and all copies of it or You may use the Software in Demo Mode.

* Upon termination, You must destroy the Software and all copies of it and send back the HARDWARE KEY to the local partner of Graphisoft or to the place where You purchased the Software or, if the foregoing is not available or will not accept the HARDWARE KEY, You must return the HARDWARE KEY directly to Graphisoft. You must uninstall the SOFTWARE KEY with the license programming application.

B: Trial Mode

* Upon the expiry of the term determined by the serial number received, You may terminate this Agreement by destroying the Software and all copies of it or You may use the Software in Demo Mode.

C: Educational Mode

* Upon the expiry of the term determined by the serial number received, You may terminate this Agreement by destroying the Software and all copies of it or You may use the Software in Demo Mode.

D: Demo Mode

* You may terminate this Agreement by destroying the Software and all copies of it.

7.3. SPECIAL PROVISIONS APPLICABLE TO THE ADD-ONS TO THE SOFTWARE:

This Agreement remains in effect until it is terminated.

A: Commercial Mode

* Upon termination, You must destroy the Software and all copies of it.

B: Trial Mode

* Upon the expiry of the Host Application's Trial Mode, You may terminate this Agreement by destroying the Software and all copies of it or You may use the Software in Demo Mode.

C: Educational Mode

* Upon the expiry of the Host Application's Educational Mode, You may terminate this Agreement by destroying the Software and all copies of it or You may use the Software in Demo Mode.

D: Demo Mode

* You may terminate this Agreement by destroying the Software and all copies of it.

7.4. SPECIAL PROVISIONS APPLICABLE TO THE GOODIES TO THE SOFTWARE:

* This Agreement remains in effect until it is terminated.

* You may terminate this Agreement by destroying the Software and all copies of it.

8. LIMITED WARRANTY

8.1. GENERAL PROVISIONS - APPLICABLE TO COMMERCIAL MODE, TRIAL MODE, DEMO MODE AND EDUCATIONAL MODE OF THE SOFTWARE, TO THE ADD-ONS TO THE SOFTWARE AND TO THE GOODIES TO THE SOFTWARE:

* No advice or information given by Graphisoft employees, its Partners, resellers, agents, or consultants shall constitute a warranty by Graphisoft or extend the warranty in this Agreement. This Agreement and the warranty provided herein may only be modified by a written amendment signed by a duly authorized executive officer of Graphisoft.

* In no event shall Graphisoft be liable for any loss or damages whatsoever, including but not limited to loss of data, damages for lost income, business interruption, loss of business information, or other special, incidental, consequential, exemplary, multiple, or indirect damages or other pecuniary loss, arising from the use or misuse of the Software, or otherwise under this Agreement, even if Graphisoft or its employees, resellers, or agents have been advised or should have known of the possibility of such damages. In no event will Graphisoft's aggregate liability for any breach of this Agreement, use of the Software or otherwise, exceed the amounts actually paid by You to Graphisoft for this copy of the Software, except as otherwise required by applicable statutory law.

* You accept and confirm that the price of the Software (if any) or the free of charge provision of the Software and the conditions of this Agreement advantageous to You hereof have been determined in consideration of the above provisions on limited warranty.

8.2. SPECIAL PROVISIONS RELEVANT TO COMMERCIAL MODE, TRIAL MODE, EDUCATIONAL MODE AND DEMO MODE OF THE SOFTWARE:

A: Commercial Mode

* Graphisoft warrants that - if You receive a HARDWARE KEY to the Software - the HARDWARE KEY will be free of defects for a period of 1 year from the original date of the Software's first sale by Graphisoft/a Graphisoft partner as indicated on the purchase receipt.

* Graphisoft warrants that - if the Software is delivered on DVD(s) - the DVDs on which the Software are delivered will be free from defects for a period of 90 days from the original date of purchase as indicated by Your purchase receipt.

* This limited warranty is void if the failure of the DVDs or HARDWARE KEY in any way resulted from accident, negligence, misuse, abuse, theft, loss, or misapplication.

* The limited warranty period commences on the date that the Software was first purchased from Graphisoft or a Graphisoft partner (i.e. the warranty period shall not restart in case of resale, upgrade, update, etc. of the Software).

* If, within the warranty period, Your DVDs or HARDWARE KEY prove defective, Graphisoft's entire liability and Your exclusive remedy shall be, at Graphisoft's option, to:

replace the defective DVDs or HARDWARE KEY free of charge provided that they are returned to Graphisoft along with a proof of purchase, or
refund the price paid for the replacement license. Any replacement DVD or HARDWARE KEY will be warranted for 90 days from the date that the replacement was shipped to You.

You are entitled to the refund of the price you paid for the replacement software exclusively from the seller from whom You purchased the software.

* You expressly accept that - to the maximum extent permitted by the applicable rules of law - Graphisoft excludes any warranty related to the SOFTWARE KEY. If Your SOFTWARE KEY is destroyed or damaged for any reason, You must re-purchase the SOFTWARE KEY under the current conditions.

* EXCEPT FOR THE LIMITED WARRANTIES ON THE MEDIA AND THE HARDWARE KEY, THE SOFTWARE IS SOLD "AS IS", WITHOUT ANY WARRANTY, EXPRESSED OR IMPLIED, AS TO ITS CONFORMITY TO OR FITNESS FOR ANY PARTICULAR PURPOSE, OR THAT THE SOFTWARE WILL PERFORM UNINTERRUPTED AND WITHOUT ERRORS. TO THE MAXIMUM EXTENT PERMITTED BY THE APPLICABLE RULES OF LAW, GRAPHISOFT DISCLAIMS ALL OTHER WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUALITY, COMPLETENESS, NON-INFRINGEMENT OR PRECISION OF THE SOFTWARE'S FUNCTIONS.

B: Demo, Educational and Trial Mode

* THE SOFTWARE IS PROVIDED "AS IS", WITHOUT ANY WARRANTY, EXPRESSED OR IMPLIED, AS TO ITS CONFORMITY TO OR FITNESS FOR ANY PARTICULAR PURPOSE, OR THAT THE SOFTWARE WILL PERFORM UNINTERRUPTED AND WITHOUT ERRORS. GRAPHISOFT DISCLAIMS ALL OTHER WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUALITY, COMPLETENESS, NON-INFRINGEMENT OR PRECISION OF THE SOFTWARE'S FUNCTIONS.

8.3. SPECIAL PROVISIONS APPLICABLE TO THE ADD-ONS TO THE SOFTWARE:

A: Commercial Mode

* This limited warranty is void if the failure of the DVDs in any way resulted from accident, negligence, misuse, abuse, theft, loss, or misapplication.

* The limited warranty period commences on the date that the Software was first purchased/provided from Graphisoft or a Graphisoft partner (i.e. the warranty period shall not restart in case of resale, upgrade, update, etc. of the Software).

* If, within the warranty period, Your DVDs prove defective, Graphisoft's entire liability and Your exclusive remedy shall be, at Graphisoft's option, to:

replace the defective DVDs free of charge provided that they are returned to Graphisoft along with a proof of purchase, or

TO THE MAXIMUM EXTENT PERMITTED BY THE APPLICABLE RULES OF LAW, GRAPHISOFT DISCLAIMS ALL OTHER WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUALITY, COMPLETENESS, NON-INFRINGEMENT OR PRECISION OF THE SOFTWARE'S FUNCTIONS OR COOPERATION WITH ANY OTHER SOFTWARE/HARDWARE DEVICE.

B: Demo, Educational and Trial Mode

* TO THE MAXIMUM EXTENT ALLOWED BY THE RELEVANT RULES OF LAW THE SOFTWARE IS PROVIDED "AS IS", WITHOUT ANY WARRANTY, EXPRESSED OR IMPLIED, AS TO ITS CONFORMITY TO OR FITNESS FOR ANY PARTICULAR PURPOSE, OR THAT THE SOFTWARE WILL PERFORM UNINTERRUPTED AND WITHOUT ERRORS. GRAPHISOFT DISCLAIMS ALL OTHER WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUALITY, COMPLETENESS, NON-INFRINGEMENT OR PRECISION OF THE SOFTWARE'S FUNCTIONS OR COOPERATION WITH ANY OTHER SOFTWARE/HARDWARE DEVICE.

8.4. SPECIAL PROVISIONS APPLICABLE TO THE GOODIES TO THE SOFTWARE:

* TO THE MAXIMUM EXTENT ALLOWED BY THE RELEVANT RULES OF LAW, TAKING INTO PARTICULAR ACCOUNT THE FREE OF CHARGE PROVISION OF THE LICENSE, THE SOFTWARE IS PROVIDED "AS IS", WITHOUT ANY WARRANTY, EXPRESSED OR IMPLIED, AS TO ITS CONFORMITY TO OR FITNESS FOR ANY PARTICULAR PURPOSE, OR THAT THE SOFTWARE WILL PERFORM UNINTERRUPTED AND WITHOUT ERRORS. GRAPHISOFT DISCLAIMS ALL OTHER WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUALITY, COMPLETENESS, NON-INFRINGEMENT OR PRECISION OF THE SOFTWARE'S FUNCTIONS OR COOPERATION WITH ANY OTHER SOFTWARE/HARDWARE DEVICE.

9. OWNERSHIP OF LOADED CONTENT, THIRD PARTY MATERIALS, SERVICES

9.1. GENERAL PROVISIONS - APPLICABLE TO COMMERCIAL MODE, TRIAL MODE, DEMO MODE AND EDUCATIONAL MODE OF THE SOFTWARE TO THE ADD-ONS TO THE SOFTWARE AND TO THE GOODIES TO THE SOFTWARE:

* All title, ownership rights, and proprietary rights in and to the information and other content (e.g. commercial and 3rd party add-ons) loaded into the Software from any electronic media or Internet by operation of the Software (collectively, "Content") is the property of the applicable Content owner, including, without limitation, Supplier, its affiliates, and any Internet Content providers ("Content Providers"). This Agreement does not give You ownership or any other rights with respect to any such Content and Graphisoft does not undertake any liability for any such Content.

* You accept that the use of some Graphisoft products and some third party materials and services included in or accessed through the Software are subject to other terms and conditions found in separate license agreement(s) located at https://www.graphisoft.com/licenses , which You also accept by accepting the terms and conditions of this Agreement.

* You accept that the use of some Graphisoft and some third party materials, software and services accessed, used with the help of the Software, may be subject to other terms and conditions found in separate license agreement(s) not appearing at the link indicated above, for which Graphisoft does not assume any liability. Graphisoft also does not assume any liability for the co-operation of the Software with third party materials, software and services or for the operation and use of third party materials, software and services.

9.2. SPECIAL PROVISIONS RELEVANT TO COMMERCIAL MODE, TRIAL MODE, EDUCATIONAL MODE AND DEMO MODE OF THE SOFTWARE:

* You accept that your use of Content downloaded from the "BIM Components" WEB Portal available at https://BIMcomponents.com , either through a WEB browser or directly from the Software, is subject to the Terms & Conditions of the "BIM Components" WEB Portal and separate license agreement(s) located at https://www.graphisoft.com/licenses , which You also accept by accepting the terms and conditions of this Agreement. Graphisoft does not assume any liability for the co-operation of the Software with the BIM Components WEB Portal.

10. SPECIAL PROVISIONS RELEVANT TO COMMERCIAL MODE OF THE SOFTWARE AND ADD-ONS TO THE SOFTWARE IN SUBJECT OF SUBSCRIPTION LICENSE

* In case you have signed up to a subscription license ("Subscription"), the specific terms and conditions thereof are set out in the relevant License Subscription Amendment ("LSA") / Terms of Service ("TOS"). The LSA/TOS constitutes inseparable part of this Agreement and shall be provided to You directly by the service provider.

* By accepting the terms and conditions of this Agreement You also accept the terms and conditions of the LSA/TOS.

* You explicitly acknowledge and accept the transfer of the Service Agreement to Graphisoft or to its direct affiliate by the Service Provider any time. In such a case, Graphisoft ensures to You the services contained in the Service Agreement.

* For the purposes of Subscription the following expressions have the following meaning:

"Subscription" shall mean the license subscription plan related to the Software licensed by Graphisoft to You under the terms and conditions of this Agreement and the LSA/TOS. The content of the Subscription is detailed herein and the LSA, furthermore in the Subscription Service Agreement entered between You and Your Service Provider.

"Service Provider" shall mean the authorized Graphisoft Partner or reseller who enters into the Service Agreement with You in subject of the provision of the Subscription to You.

"Subscription Service Agreement" shall mean the agreement containing the terms and conditions of the Subscription provided to You by Your Service Provider.

11. SPECIAL PROVISIONS RELEVANT TO COMMERCIAL MODE OF THE SOFTWARE IN SUBJECT OF SOFTWARE SERVICES AGREEMENT

* In case you have concluded a Software Service Agreement ("SSA") or a Graphisoft Forward Agreement ("Forward") concerning this Software with one of our local Partners ("SSA/Forward Service Provider"), on termination or expiration of the distribution agreement between Graphisoft and the local Partner, You explicitly acknowledge and agree to the transfer of the SSA/Forward by the local Partner to Graphisoft or a third party appointed by it. The details of the transfer will be communicated to you in a transfer notice by Graphisoft and the local Partner. You also explicitly acknowledge and agree that notwithstanding the terms and conditions of the SSA/Forward, Graphisoft or the third party appointed by it shall be entitled to unilaterally amend either the scope of services provided under the SSA/Forward, or any other material term thereof.

* You acknowledge and agree that Your SSA/Forward Service Provider provides Graphisoft with Your SSA/Forward status so that You are fully informed of Your eligibility for add-ons available exclusively to End Users having a valid SSA/Forward status ("SSA/Forward Add-Ons"). You agree that Your rights and obligations in relation to the SSA/Forward Add-Ons may be governed by separate terms of use that you are responsible to comply with. Please contact Your SSA/Forward Service Provider for the relevant additional terms.

Note: Software Service Agreement may be marketed under a different name in your country.

12. TRADE & SANCTIONS

*Both You and Graphisoft shall comply with all economic, trade and financial sanctions laws, regulations, embargoes and/or restrictive measures administered ("Sanctions"), as well as all export and import control laws and regulations ("Trade Controls") enacted or enforced by the government of Hungary, the European Union and any other relevant country;

* You represent and covenant on a continuing basis that - if You are a legal entity - neither You nor Your subsidiaries, affiliates, parties which directly or indirectly own or control you, directors, employees nor Your authorized users are or will be designated on any applicable Sanctions and/or Trade Controls restricted parties list;

* Graphisoft represents and covenants on a continuing basis that neither it nor its subsidiaries, affiliates, employees, nor the parties which directly or indirectly own or control it are or will be designated on any applicable Sanctions and/or Trade Controls restricted parties list;

* Graphisoft Software is licensed on conditions that the license shall not be sub-licensed, transferred, released, exported, provided or used by You (i) for any purpose or any activity which is prohibited or restricted by Sanctions and/or Trade Controls and (ii) to any country or territory subject to jurisdiction wide Sanctions including without limitation at the date of this Agreement North Korea, Iran, Syria, Sudan, Cuba. User is solely liable for any Content in compliance with applicable Sanctions and/or Trade Controls.

* Each Party undertakes to immediately notify the other Party in writing if it receives any notice of, or becomes aware of, any violation of this section 12;

* Notwithstanding anything to the contrary, either Party shall have the right to (i) terminate this Agreement immediately if any of the provisions of this section 12 are breached and (ii) seek indemnities from the Party which has breached the relevant provisions for any direct losses incurred.

13. GENERAL AND CLOSING CONDITIONS

13.1. GENERAL PROVISIONS - APPLICABLE TO COMMERCIAL MODE, TRIAL MODE, DEMO MODE AND EDUCATIONAL MODE OF THE SOFTWARE, TO THE ADD-ONS TO THE SOFTWARE AND TO THE GOODIES TO THE SOFTWARE:

* This Agreement DOES NOT give You the right to any technical support for, or upgrades to, the Software which Graphisoft may offer from time to time. Graphisoft may, at its option and as part of its sales and marketing policy, make such technical support and upgrades available to registered users of the Software under terms to be determined from time to time by Graphisoft or its Partners.

* You accept that Graphisoft may unilaterally modify any term of this Agreement with or without notice to You. You agree that Graphisoft shall not be liable to you or anyone else for any negative effect deriving from such modifications. For the most recent version of EULA please visit http://www.graphisoft.com/legal webpage.

* This Agreement constitutes the full, complete agreement between You and Graphisoft concerning the Software and supersedes all prior agreements and understandings, either written or oral. Unless otherwise communicated to You by Graphisoft in writing, the conditions of this Agreement shall apply to the installation and use of additional functions of the Software and to the repair of the Software's installation.

* If any part or provision of this Agreement is found to be contrary to law by a competent jurisdiction, that part or provision shall be enforced to the maximum extent allowed, and the remaining Agreement shall remain in full force and effect.

* The English version of this Agreement will be the governing version used when interpreting or construing this Agreement. Any translations thereof shall exclusively be provided for information purposes without any binding force and in no event shall Graphisoft be liable for any direct, indirect, incidental, special or consequential damages or damages whatsoever resulting from any incorrect, incomplete translations.

* This Agreement is governed by the laws of Hungary. Any disputes arising from this Agreement, including those disputes relating to the validity, interpretation or termination of the Agreement, shall be exclusively and finally settled by the Permanent Arbitrate Tribunal formed beside the Hungarian Chamber of Commerce and Industry, Budapest, in accordance with its own rules of procedure. The place of jurisdiction shall be in Budapest.

13.2. SPECIAL PROVISIONS RELEVANT TO COMMERCIAL MODE OF THE SOFTWARE

* Unless otherwise provided, the terms and conditions of this Agreement shall be applicable to the additional functionalities of the Software and to the services and content provided to You in relation to the Software (such as in particular the "SSA/Forward").

* You accept that the Software may have time/functionality limited components, which may be used in their full functionality in case of purchase of the relevant license(s).
